Xxxxxxx Patents definition

Xxxxxxx Patents means any Patents Controlled by Xxxxxxx or its Affiliates on the Effective Date claiming the composition, use, or manufacture of a Compound or Licensed Product, and any Patents which come under the Control of Xxxxxxx or any Affiliate thereof following the Effective Date claiming the composition, use, or manufacture of a Compound or Licensed Product. Xxxxxxx Patents include those listed on Schedule 1.41, attached hereto, and any Patents claiming priority thereto or claiming subject matter described in such Patents. Schedule 1.41 shall be updated by Xxxxxxx from time to time to reflect any new Patents to be included within the Xxxxxxx Patents.

Xxxxxxx Patents means all foreign and domestic patents (including, without limitation, extensions, reissues, reexaminations, renewals and inventors certificates) issued as of, and patents issuing from patent applications (including substitutions, provisionals, divisionals, continuations and continuations-in-part) that are pending as of, the Effective Date which claim inventions or discoveries necessary and useful in the Field of Research and are owned or Controlled by Xxxxxxx. The RMC shall compile a list of Xxxxxxx Patents from time to time.

Xxxxxxx Patents means the Patents on Annex V.

Examples of Xxxxxxx Patents in a sentence

• If Xxxxxxx decides not to file, prosecute, or maintain any Xxxxxxx Patents, Xxxxxxx shall give PPD reasonable notice of same (such notice to be provided reasonably in advance of any statutory, response, maintenance fee, or similar deadlines) and after receipt of such notice, PPD may, upon written election to Xxxxxxx, file, prosecute, or maintain such Patents in its sole discretion at its own expense and shall be made the exclusive attorney of record for such Patents.

• Each Party to this Agreement shall notify the other in writing promptly of any actual, potential or suspected infringement (collectively “alleged infringement”) of Xxxxxxx Patents, Joint Patents, or PPD Patents as they relate to Licensed Products of which such Party becomes aware and shall promptly provide the other Party with available evidence of such alleged infringement.

• Appropriately adjustment shall also be made to the number of shares to which a participant is entitled under the Plan.

• Xxxxxxx shall have the primary responsibility for, and shall use Diligent Efforts in, preparing, filing, prosecuting and maintaining Xxxxxxx Patents, including but not limited to those which are Royalty Patents.

• Xxxxxxx shall provide to PPD, at least on an annual basis, with a detailed list accurately identifying the status of all Xxxxxxx Patents, including but not limited to those which are Royalty Patents.

Xxxxxxx Patents means any Patents Controlled by Xxxxxxx or any of its Affiliates that Cover any Xxxxxxx Know-How.

Xxxxxxx Patents means those Patents that are Controlled by Medarex pursuant to the UC Agreement or the Gilead Agreement (as such terms are defined in the Xxxxxxx License Agreement), including the Patents set forth on Schedule A to the Xxxxxxx License Agreement.

Xxxxxxx Patents means the Existing Patents and any Patents owned or Controlled by Xxxxxxx or any of its Affiliates as of the Effective Date or at any time during the Term that cover the Exploitation of a Licensed Compound or a Licensed Product for any purpose in the Territory, but excluding any Joint Patents.

Xxxxxxx Patents means U.S. Patent Nos. 6,440,125 and 6,673,064, and all divisionals, continuations, continuations-in-part, reexaminations or reissuances, based upon or derived from U.S. Patent Nos. 6,440,125 and 6,673,064, including claims issuing from U.S. Patent App. 11/646,743 and all divisionals, continuations, continuations-in-part, reexaminations or reissuances thereof, and all other patents presently owned or assigned to Xx. Xxxxxxx relating to Licensed Catheters. A listing of the Xxxxxxx Patents is attached as Exhibit A.
