Xxxxxxx License Agreement definition

Xxxxxxx License Agreement has the meaning set forth in the Recitals above.

Xxxxxxx License Agreement means Xxxxxxx’x license and right to use, at Xxxxxxx’x option and upon conversion pursuant to Sections 11.4 or 11.7 hereof, all Licensed Intellectual Property (defined under Section 21), and shall include the right to sublicense third parties.

Xxxxxxx License Agreement means the License and Technology Transfer Agreement, dated April 23, 2024, by and between the Company and Xxxxxxx Pharmaceuticals, Inc.

• In the event the Automatic First Renewal Term or the First Renewal Term, if any, shall expire without renewal for a Second Renewal Term, then Xxxxxxx shall have the right to convert this Agreement to a Xxxxxxx License Agreement pursuant to the conversion and option rights in Section 11.7 below.

Xxxxxxx License Agreement means that certain amended and restated license agreement dated as of September 14, 2009, by and between Agen MA, Elan Pharma International Limited (“EPIL”) and Elan Pharmaceuticals, Inc. (“EPI”) (as may be further amended), as assigned by EPIL and EPI to Xxxxxxx, on July 2, 2009.

Xxxxxxx License Agreement means the License Agreement dated as of December 7, 2016 by and between Hi-Tec, as licensor, and the Xxxxxxx Partner, as licensee.
