Xxxxxxx Sale definition

Xxxxxxx Sale means (i) the recapitalization of preferred Equity Interests of Xxxxxxx into common Equity Interests of Xxxxxxx, and immediately thereafter (ii) the sale by Borrower of all or a majority of the common Equity Interests of Xxxxxxx to the Designated Xxxxxxx Parent in exchange for the assumption by the Designated Xxxxxxx Parent of approximately Cdn$142,000,000 of Indebtedness (and any accrued and unpaid interest thereon) owing by Borrower to Xxxxxxx, in each case pursuant to agreements in form and substance reasonably satisfactory to the Administrative Agent; provided that, immediately upon consummation of the Xxxxxxx Sale, Xxxxxxx and its Subsidiaries that are Guarantor Subsidiary/Affiliates shall have:

Xxxxxxx Sale means (i) the recapitalization of certain of the preferred stock of Xxxxxxx Corp. into common stock of Xxxxxxx Corp. and (ii) the sale by the Issuer of all or a majority of the common stock of Xxxxxxx Corp. to AbitibiBowater Inc. or a Subsidiary thereof in exchange for the assumption by AbitibiBowater Inc. or such Subsidiary of approximately C$142.0 million of indebtedness (and any accrued and unpaid interest thereon) owing by the Issuer to Xxxxxxx Corp.

Xxxxxxx Sale shall have the meaning set forth on page 1 of this Agreement.

• No later than April 4, 2008, the Credit Parties shall have caused the Xxxxxxx Sale to occur in accordance with the conditions set forth in the proviso to such definition.

• Holdings and Borrower shall have delivered to Syndication Agent, Administrative Agent and Collateral Agent, in form and substance satisfactory thereto, drafts of all principal agreements evidencing and effecting the Xxxxxxx Sale dated as of a date no more than three Business Days prior to the Closing Date.

Xxxxxxx Sale shall have the meaning set forth on page 1 of this Agreement. 1.46 "Waddell Ranch Receivable" shall have the meaning set forth on page 1 of this Agreement. 1.47 "Waddell Ranch Receivable Distribution" shall have the meaning set forth on page 1 of this Agreement. 1.48 "WRAMCO" shall mean Xxxxxxx & Xxxx Asset Management Company, a Missouri corporation.

Xxxxxxx Sale means the Sale of any or all of the assets of the Xxxxxxx Business or the Stock or Stock Equivalents of any Subsidiary that conducts the Xxxxxxx Business or any direct or indirect holding company thereof holding, directly or indirectly, the Stock and Stock Equivalents of any such Subsidiary (provided that such Subsidiary or holding company does not engage in any material business or own any material assets other than the Xxxxxxx Business or owning, directly or indirectly, the Stock and Stock Equivalents of any such Subsidiary).

Xxxxxxx Sale means the sale by Borrower of the majority of the common Equity Interests of Xxxxxxx to the Designated Xxxxxxx Parent.

Xxxxxxx Sale shall have the meaning set forth in Section 4.2(a).
