Upon termination of Your Appointment, you will (if applicable) be paid your annual retainer fee on a pro-rata basis, to the extent unpaid up to the Termination Date.
Your Appointment will be effective January 1, 2022 for a period of 12 months after which time this agreement will automatically terminate unless extended by agreement of both parties.
On termination of Your Appointment for whatever reason you will promptly return to the Company all documents, records, keys, correspondence or other items in your possession or under your control which relate in any way to the business or affairs of, or are the property of, the Company or any Group, including electronic records and all copies thereof, regardless of the medium upon or in which such copies are stored or held.

The parties irrevocably submit to the non-exclusive jurisdiction of the U.S. Federal and New York State courts in the Borough of Manhattan, the City of New York in relation to all matters arising out of or in connection with this Letter and Your Appointment.
Under this Agreement Your Appointment may endure up to a maximum of 36 months from your Appointment Date.
Your Appointment will continue until the Company gives you not less than 12 months’ written notice to terminate it or you give the Company not less than six months’ such notice.
Your Appointment will continue until either party gives to the other not less than six months’ written notice.
Your Appointment may be re-scheduled by us upon not less than one (1) days’ prior written notice to you, the Appointment Holder.
