Unless specifically excluded under clause 11.2, and notwithstanding any other provision of the Agreement or these Terms and Conditions, the global, total and cumulative liability of either Party against the other, whether contractual and/or extra-contractual (including any type of fines, penalties, compensation, warranty obligations, among others) for any matter related to this Agreement will be limited to Fifty percent (50%) of the Contract Price.
The Contract Price shall be payable in accordance with the payment schedule set out in the Agreement.
Unless stated otherwise in the Agreement the Contract Price is a fully inclusive fixed price which includes all costs of packing, labelling, royalties and license fees (if applicable), but excluding carriage, insurance, delivery, and all other charges, VAT, GST, taxes, duties and impositions (including customs import or analogous duties).

The additional costs shall be borne by the Purchaser provided that the Contract Price is based on one-time delivery and the partial deliveries are under the Purchaser’s request.

In the event of a termination for Force Majeure, Contractor shall be entitled to be paid for Service properly performed by Contractor prior to the effective date of termination, provided, however, that such payment shall not exceed the total Contract Price after adjustment to account for the price associated with Services not performed.

Monto Neto del Contrato (Net Contract Price): es la cantidad que resulta de restarle al monto del inciso C el monto del inciso D (C menos D).
Contenido Extranjero Elegible (Foreign Content): es el costo agregado para el Exportador estadounidense, de los bienes o componentes que se produjeron o manufacturaron fuera de los Estados Unidos, de los servicios provistos por residentes de terceros países, de los costos de transporte extranjeros y del costo de los seguros extranjeros, que fueron incluidos en el Monto Neto del Contrato (Net Contract Price) y que forman parte de los bienes y/o servicios exportados desde los Estados Unidos.
