Assignment. Neither of this AGREEMENT nor any right or interest there under shall be assignable, in whole or in part, by either party hereto without the prior written consent of the other party.
Assignment. Neither party may assign its rights and obligations under this Purchase Order without the written consent of the other party, which consent shall not be unreasonably withheld. Notwithstanding the foregoing, Buyer shall have the right to assign its rights and/or obligations to an affiliate, parent, or subsidiary without the consent of Seller.

Assignment. This Agreement shall be binding upon and inure to the benefit of each party hereto and its successors and assignees, provided that the Customer may not assign or transfer any interest and right in foreign exchange transactions entered into hereunder to any third party without the prior written consent of the Bank.
Assignment. Purchaser may not assign or transfer these terms and conditions or any rights or obligations, whether voluntary, by operation of law or otherwise, without the prior written consent of Seller; provided that, only notice to Seller and no consent shall be required for any assignment in connection with any merger, acquisition or the sale of all or substantially all of the stock or assets of Purchaser to a party that (i) agrees in writing to be bound by these terms and conditions, and (ii) is not a competitor of Seller or any of Seller’s business units or Seller’s affiliates. Seller may assign all or part of the right to payments. Any assignment or transfer made in contravention of the terms hereof shall be null and void. Subject to the foregoing, these terms and conditions shall be binding on and inure to the benefit of the parties’ respective successors and permitted assigns.
Assignment. This Agreement may not be assigned, nor may any of Your obligations under this Agreement be delegated, in whole or in part, by You by operation of law, merger, or any other means without Apple’s express prior written consent and any attempted assignment without such consent will be null and void. You may not issue any press releases or make any other public statements regarding this Agreement, its terms and conditions, or the relationship of the parties without Apple’s express prior written approval, which may be withheld at Apple’s discretion. This Agreement will not be construed as creating any agency relationship, or a partnership, joint venture, fiduciary duty, or any other form of legal association between You and Apple, and You will not represent to the contrary, whether expressly, by implication, appearance or otherwise. This Agreement is not for the benefit of any third parties.
Assignment. Neither party shall assign or transfer this agreement or any rights and obligations under this Agreement to any third party, without prior written consent of the other party hereto.
Assignment. During the term of this Agreement, Representative shall not have the right to assign commissions hereunder prior to the time such commissions have been earned and may be rightfully claimed by Representative, but all commissions properly due shall in any event inure to the benefit of Representative’s legal successors.
Assignment. Neither Principal nor Representative shall assign or transfer, or purport to assign or transfer, any of its rights or obligations under this Agreement to a third party, without the prior written consent of the other party.
Assignment. 19.1 Either party shall not assign this Agreement to any other person without the other parties prior consent in writing. In the event of assignment with the written consent of the other, the one shall not be relieved from its obligations under this Agreement and shall be held responsible for its performance.
