Implementation – Acceptance. Unless agreed otherwise between the Parties, the implementation or Customization of Software Product is carried out by Nextlane or a third-party integrator. Implementation Services usually include a certain number of man/days of project planning, Customer Data preparation, interface development, user testing, and aftercare services after go-live performed within a certain period of time as agreed between the Parties in writing after kick off meeting (the “Implementation Planning”). Customer agrees that any additional Professional Services performed outside of the scope of a Quote or any change to the Implementation Planning, or delay that is not caused by Nextlane may lead to additional charges, based on Nextlane rates specified in the Quote or Nextlane then applicable daily rates in the territory where Project occurs. In the absence of any express comment by the Customer 14 days following any request for acceptance the Software Products and/or Services shall be deemed accepted by the Customer, without reservation. If a milestone is delayed and such delay is not caused or attributable to Nextlane, payment shall remain due upon the agreed milestone.
