CONSIDERANDO QUE: WHEREAS:
A. A Shell e os Parceiros de Pesquisa firmaram um Acordo de Cooperação de Pesquisa, datado de 14 de janeiro de 2019, com o objetivo de desenvolver e realizar um projeto de pesquisa científica e de desenvolvimento tecnológico em conexão com o setor de petróleo e gás natural denominado “Desenvolvimento de fluxo de trabalho para inversão 3D conjunta e vinculada de dados geofísicos eletromagnéticos e sísmicos” (o “Acordo”);
B. A Shell e os Parceiros de Pesquisa firmaram o 1º Termo Aditivo ao Acordo de Cooperação em 11 de março de 2021;
A. Shell and Research Partners entered into a Research Cooperation Agreement, dated as of January 14, 2019 with the purpose to develop and perform a scientific research and technology development project in connection with the petroleum and natural gas industry named “Design of a workflow for 3D joint and constrained inversion of multiple geophysical data sets” (the “Agreement”);
B. Shell and Research Partners entered into the 1st Amendment to the Cooperation Agreement on March 11, 2021;
C. As Partes, de comum acordo, pretendem alterar o referido Acordo de Cooperação para alterar as cláusulas referentes a Entrada em Vigor, Prazo e Solicitações de Mudança, bem como atualizar a definição de Afiliada, com relação à Shell, e a referência as Regras que Salvam Vidas da Shell, nos termos do presente segundo termo aditivo (o “Aditivo”).
C. The Parties, by mutual agreement, intend to amend such Cooperation Agreement in order to amend the clauses regarding Commencement, Duration and Change Requests, as well as to update the definition of Affiliate, with respect to Shell, and reference to Xxxxx’x Life Saving Rules, in accordance with the terms set out in this second amendment (the “Amendment”).
TEM AS PARTES JUSTO E CONTRATADO O QUANTO SE SEGUE:
NOW THEREFORE IT IS AGREED AS FOLLOWS:
1. PROPÓSITO 1. PURPOSE
O propósito do presente Aditivo é alterar as cláusulas referentes a Entrada em Vigor, Prazo e Solicitações de Mudança, bem como atualizar a definição de Afiliada, com relação à Shell, e a referência as Regras que Salvam Vidas da Shell.
The purpose of this Amendment is to amend the clauses regarding Commencement, Duration and Change Requests, as well as to update the definition of Affiliate, with respect to Shell, and the reference to Xxxxx’x Life Saving Rules.
2. ALTERAÇÕES 2. AMENDMENTS
2.1. Em virtude do disposto na Cláusula 1ª acima, a Definição de Afiliada, com relação à Shell, a Cláusula 2 e a Cláusula 10.3 do Acordo de Cooperação passam a vigorar com a seguinte redação:
2.1. In view of the provisions of Clause 1 above, the Definition of Affiliate, with respect to Shell, Clause 2 and Clause 10.3 of the Cooperation Agreement shall henceforth read as follows:
2.1.1. A definição de "Afiliada", com relação à Shell, conforme contida na Cláusula 1 do Acordo de Cooperação, passa a vigorar com a seguinte redação:
2.1.1. The definition of "Affiliate", with respect to Shell, as established under Clause 1 of the Cooperation Agreement, shall henceforth read as follows:
“Afiliada” significa, com relação à Shell: (a) a Shell plc e qualquer entidade afora a Shell que, no momento em questão, seja direta ou indiretamente controlada pela Shell plc. Para os fins desta definição, uma determinada entidade é (i) diretamente controlada por outra(s) entidades(s) se esta(s) for(em) o(s) proprietária(s) (em conjunto, caso se trate de mais de uma entidade) de 50% (cinquenta por cento) ou mais de participação societária, dos direitos de voto ou de direitos contratuais sobre a primeira entidade; ou (ii) indiretamente controlada por outra(s) entidades(s) se uma série de entidades puder ser especificada, iniciando na(s) última(s) entidades(s) e terminando na primeira entidade mencionada, relacionadas entre si de forma tal que cada uma das entidades da série (salvo pela(s) última(s)) seja diretamente controlada por uma ou mais das entidades anteriores da série; e (b) qualquer sociedade administrada ou operada pela Shell ou por uma sociedade que se encaixe na definição constante da letra (a);
2.1.2. A Cláusula 2 passa a vigorar com a seguinte redação:
2.1 Este Acordo entrará em vigor na data de assinatura pela última Parte e, salvo se rescindido antecipadamente na forma da Cláusula 14, permanecerá vigente até a conclusão do Projeto ou 60 (sessenta) meses, o que ocorrer primeiro, devendo os Parceiros de Pesquisa cumprir os prazos e o cronograma físico-financeiro previstos nos Anexos I e II deste Acordo.
2.1.1 O presente Acordo não poderá ser estendido por mais de 60 (sessenta) meses, conforme Normas da ANP.
2.2 O presente Acordo e seus Anexos I e II poderão ser alterados mediante a aprovação, pela Shell, de uma Solicitação de Mudança, desde que tais alterações (i) não causem prejuízos à pesquisa e (ii) sejam tecnicamente justificadas, e apenas nos seguintes casos:
a) realocar fundos entre os itens de linha de orçamento existentes no Anexo II, desde que não haja majoração no valor total da contribuição da Shell neste Acordo;
b) uso do rendimento financeiro para o benefício dos Projetos, conforme disposto na Cláusula 6.7 deste Acordo;
c) alteração das datas de pagamento das parcelas previstas no Cronograma de Pagamento, conforme disposto no Anexo II deste Acordo;
“Affiliate” with respect to Shell means (a) Shell plc and any entity other than Shell which is at the time in question directly or indirectly controlled by Shell plc. For the purpose of this definition, a particular entity is
(i) directly controlled by another entity or entities if that latter entity owns or those latter entities together own fifty percent (50%) or more of the ownership interest of, or of the voting or contractual rights in, the particular entity; and (ii) is indirectly controlled by an entity or entities if a series of entities can be specified, beginning with that latter entity or entities and ending with the first mentioned entity, so related that each entity of the series (except the latter entity or entities) is directly controlled by one or more of the entities earlier in the series and (b) any company which is managed or operated by Shell or a company as defined above in (a);
2.1.2. Clause 2 shall henceforth read as follows:
2.1 This Agreement shall come into effect on the signature date by the last Party, and, unless terminated earlier in accordance with Clause 14, shall continue in force until the conclusion of the Project or 60 (sixty) months, whichever occurs first, and the Research Partners shall comply with the deadlines and the physical and financial schedule indicated in Appendices I and II of this Agreement.
2.1.1 This Agreement cannot be extended for more than 60 (sixty) months, as per ANP Regulations.
2.2 This Agreement and its Appendixes I and II may be modified by a Change Request, approved by Shell, provided that such modifications (i) do not cause any losses to the research and (ii) are technically justified, and exclusively in the following cases:
a) reallocate funds between existing budget line items in Appendix II, provided that the total Shell contribution under this Agreement is not increased;
b) use of the accrued revenues for the benefit of the Projects, as per Clause 6.7 of this Agreement;
c) changes to the payment dates as presented in the Schedule of Payment, in Appendix II of this Agreement;
d) redução no valor dos itens de linha de orçamento existentes no Anexo II deste Acordo;
e) alterações na equipe (ex. tipo de remuneração, horas dedicadas ao projeto e remuneração) e despesas incorridas pela equipe (ex. passagens, diárias ou ajuda de custo, tipo de viagens);
f) quantidade, procedência e preço do material de consumo, equipamentos e material permanente, outros bens e direitos de caráter permanente;
g) alterar o prazo do Projeto, desde que ele não exceda o prazo máximo de 60 (sessenta) meses.
2.3 As Solicitações de Mudanças descritas na Cláusula 2.2 somente alterarão o Acordo e/ou seus Anexos I e II – sem a necessidade de assinatura de um termo aditivo a este Acordo – quando aprovadas expressamente pelo Fiscal da Shell no PROMPT.
2.4 Alterações ao Acordo ou a seus Anexos não expressamente previstas na Cláusula 2.2 somente poderão ser feitas mediante termo aditivo assinado entre as Partes. Isto inclui, mas não se limita a:
(a) aumento da contribuição financeira da Shell, conforme disposto na Cláusula 6.2 deste Acordo.
2.1.3. A Cláusula 10.3 passa a vigorar com a seguinte redação:
d) reduction of existing budget line items value in Appendix II of this Agreement;
e) changes in the team (e.g. type of remuneration, hours dedicated to the project and remuneration) and expenses incurred by the team (e.g. tickets, daily or cost aid, type of travel);
f) quantity, origin and price of consumables, equipment and permanent material, other goods and rights of a permanent nature;
g) change the term of the Project, provided that it does not exceed the maximum period of 60 (sixty) months.
2.3 The Change Requests described in Clause
2.2 will only change the Agreement and/or its Appendices I and II – without the need of a signed amendment to this Agreement – provided that they are expressly approved by Shell Monitor in PROMPT.
2.4 Any changes to the Agreement or its Appendices not expressly listed in Clause 2.2 shall only be made by means of a signed amendment by the Parties, including, but not limited to:
(a) increase in Shell’s financial contribution, as set forth in Clause 6.2 of the Agreement.
2.1.3. Clause 10.3 shall henceforth read as follows:

3.1 Este Aditivo entra em vigor na data que a última Parte o assinar.

4. DISPOSIÇÕES GERAIS 4. MISCELLANEOUS
4.1 Ficam ratificadas e mantidas, sem qualquer alteração, todas as demais cláusulas e condições do Acordo de Cooperação e de seu primeiro termo aditivo que não tenham sido expressamente alteradas por este Aditivo.
4.2 Todas as expressões iniciadas em caixa alta neste Aditivo terão o significado a elas atribuído no Acordo, a não ser que sejam especificamente definidas de outra forma neste Aditivo.
4.1 All other clauses and conditions of the Cooperation Agreement and its first amendment that are not expressly amended by this Amendment are hereby ratified and maintained, without any changes.
4.2 Any capitalized term used herein shall have the meaning ascribed to such term in the Agreement, unless specifically defined otherwise in this Amendment.
