PRIMEIRO ADITIVO DO CONTRATO DE FORNECIMENTO DE REAGENTES COM COMODATO DE EQUIPAMENTOS Nº 1748-2023- 001, FIRMADO ENTRE DIAMED LATINO AMÉRICA S.A E O INSTITUTO CEM, ASSOCIAÇÃO CIVIL SEM FINS LUCRATIVOS.
I. DIAMED LATINO AMÉRICA S/A. ¸ pessoa jurídica de direito privado, inscrita no CNPJ sob o n.º 71.015.853/0001-45 e inscrição Estadual sob o nº 000.000.000.0000, com sede na Xxx Xxxxxxx Xxxxxx xx Xxxxx, 000, Dist. Ind. Genesco X. xx Xxxxxxxx, Lagoa Santa - MG, CEP: 33240-095, neste ato representada por seus responsáveis legais, nos termos de seus atos constitutivos, alterações sociais e/ou procurações posteriormente outorgadas, doravante denominada DIAMED.

Decreto nº 9.184 de 12 de março de 2018, Entidade Gestora Do Hospital De Urgências De Goiás - DR VALDEMIRO DA CRUZ, com sede na Av. Deputado Xxxxx Xxxxxxx, Nº 2496, Xxxxxx X00, Xxxx0x, Xxxx 00-X, Edificio New Business Style, Jardim Goiás, Cidade De Goiânia/GO, cep: 74810-100, devidamente representada por seu diretor presidente, SR XXXXXX XXXXXXX XXXXXXXX, brasileiro, casado, industrial, portador do cpf 000.000.000-00, residente e domiciliado na xxx 00, xx 000, xxxxxxxx Xxxxxxxxxx, xxxx 000, xxxxx xxxx xxxxx, Xxxxxxx/XX, cep: 74823-460), neste ato representados por seus atos constitutivos, alterações sociais e/ou procurações posteriormente outorgadas, doravante denominada CONTRATANTE.
DIAMED e CONTRATANTE, doravante também referidas individualmente por “Parte” e conjuntamente por “Partes” têm entre si, justos e acordados, firmar o presente 1° Aditamento ao Contrato de Fornecimento de Reagentes com Comodato de Equipamentos nº 0000-0000-000 (“1º Aditamento”), na forma abaixo:
Considerando que as Partes celebraram em 30 de outubro de 2024, o Contrato de Fornecimento de Reagentes com Comodato de Equipamentos nº 0000-0000-000 (“Contrato”)
RESOLVEM as Partes aditar o Contrato de acordo com os termos e condições seguintes: CLÁUSULA PRIMEIRA – OBJETO DO PRESENTE TERMO ADITIVO
1.1 - Constituem o objeto do presente instrumento de aditamento contratual:
1.1.1 Prorrogação da vigência contratual;
CLÁUSULA SEGUNDA – ALTERAÇÃO NA “CLÁUSULA QUINTA - DO PRAZO DE VIGÊNCIA” DO CONTRATO.
2.1 Acordam as PARTES prorrogar a vigência contratual por mais 4 (quatro) meses, tendo como termo inicial 30 de abril de 2024 e termo final 30 de agosto de 2024, modificando o item 5.1 da “CLÁUSULA QUINTA - DO PRAZO DE VIGÊNCIA” do Contrato, passando a viger da seguinte forma:
“5.1 O presente Contrato será prorrogado por um prazo de 04 (quatro) meses, a partir da data de assinatura. Adicionalmente, é possível estender sua vigência por meio de um aditivo escrito entre as partes envolvidas. Essa renovação está vinculada ao contrato emergencial celebrado entre o INSTITUTO CEM e o Hospital de Urgências de Goiás (“HUGO”).”
CLÁUSULA TERCEIRA – VIGÊNCIA DAS MODIFICAÇÕES PREVISTAS
3.1 As PARTES ajustam, de comum e mútuo acordo, que as modificações e alterações nas condições contratuais abordadas no presente Termo Aditivo produzirão seus efeitos jurídicos a partir de 30 de abril de 2024.
CLÁUSULA QUARTA - DA RATIFICAÇÃO DAS DEMAIS CLÁUSULAS
4.1. Permanecem inalterados, ratificados e em pleno vigor todas as demais cláusulas, condições e prazos estabelecidos no Contrato ora aditado, que não foram, expressamente, modificados ou não se tornaram incompatíveis com este Termo Aditivo, que passa a ser parte integrante e indissociável do instrumento originalmente firmado.
E, por estarem justas e contratadas, as partes assinam o presente instrumento, juntamente a 02 (duas) testemunhas, de forma manual ou, caso optem, mediante assinatura eletrônica ou digital, à qual as partes reconhecem sua validade e eficácia, nos termos do inciso II do artigo 411 do Código de Processo Civil, artigo 107 do Código Civil e, artigo 10 e §2º Medida Provisória nº 2200-2, 24 de agosto de 2001.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, Bio-Rad Laboratories (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through your DocuSign, Inc. (DocuSign) Express user account. Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to these terms and conditions, please confirm your agreement by clicking the 'I agree' button at the bottom of this document.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. To indicate to us that you are changing your mind, you must withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your DocuSign account. This will indicate to us that you have withdrawn your consent to receive required notices and disclosures electronically from us and you will no longer be able to use your DocuSign Express user account to receive required notices and consents electronically from us or to sign electronically documents from us.

Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through your DocuSign user account all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. To request delivery from us of paper copies of the notices and disclosures previously provided by us to you electronically, you must send us an e-mail to

i. decline to sign a document from within your DocuSign account, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may;
