SPLOŠNO
Splošni pogoji poslovanja veljajo na vseh področjih dela podjetja GAZELA, kjer so udeležene tudi druge zainteresirane strani.
VELJAVNOST PONUDBE ALI PREDRAČUNA
Na vsaki izdani ponudbi ali predračunu je naveden čas veljavnosti. V kolikor čas veljavnosti ni naveden velja, da je rok veljavnosti ponudbe ali predračuna 15 dni.
CENA IZDELKOV IN STORITEV
Če zainteresirana stran (naročnik) sprejme ponudbo v obliki pisnega naročila ali na drug ustrezen način, iz katerega je možno jasno sklepati, da gre za sklenitev dogovora, se šteje, da je bila pogodba sklenjena. Za sestavine, ki niso bile posebej dogovorjene veljajo določila teh pogojev poslovanja. V primeru sklenjene pogodbe se cena izdelkov oz. storitev naročniku zaračuna po veljavnem ceniku podjetja GAZELA.
PLAČILO IN PLAČILNI ROKI
Naročnik poravna račun po opravljeni storitvi oz. po dobavljenem izdelku v dogovorjenem roku. Če ni dogovorjeno drugače, je ta rok 30 dni od dneva dobave. Plačilo se šteje za izvedeno, ko finančna sredstva prispejo na transakcijski račun podjetja GAZELA.

The General Terms and Conditions apply to all areas of work of GAZELA, where other stakeholders are also involved.
VALIDITY OF THE OFFER OR PROFORMA INVOICE
Each issued offer or pro forma invoice states the period of validity. If the validity period is not specified, the validity period of the offer or pro forma invoice is 15 days.
PRICES OF PRODUCTS AND SERVICES
If the interested party (contracting authority) accepts the offer in the form of a written order or agrees to the terms of offer in any other appropriate way, the contract shall be deemed to have been concluded. Ingredients that have not been specifically agreed in contract are subject to the provisions of these Terms and Conditions. In case of a concluded contract the price of products/services is charged to the client. The price of the product and the service provided is determined according to the valid price list of GAZELA.
PAYMENT AND PAYMENT DEADLINES
The client settles the invoice within 30 days, after the service / delivered product has been completed or as specified in the offer or contract. Payment is considered made when the money arrives in GAZELA's transaction account.
DOBAVA IN DOBAVNI ROK
Če ni drugače pisno dogovorjeno, podjetje GAZELA blago dobavi naročniku na njegov poslovni naslov na način, za katerega smatra, da je najprimernejši. Podjetje GAZELA ni odgovorno za zamude s strani ponudnika poštnih storitev ali za poškodovanje embalaže in blaga. Izdelki, ki so na zalogi na sedežu podjetja GAZELA so dobavljivi v roku 1-2 delovnih dni. Izdelki, ki so na zalogi pri dobavitelju pa so dobavljivi v roku 3-10 delovnih dni. Možen je tudi osebni prevzem na sedežu podjetja GAZELA.
Dobavni rok je odvisen od zahtevnosti in obsega naročila, ter od razpoložljivosti virov v podjetju GAZELA. Rok dobave je predmet dogovora pri sklenitvi pogodbe.
ODSTOP OD POGODBE
Naročnik ima pravico pisno odstopiti od pogodbe, vendar pri tem nosi vse stroške, ki so dotlej nastali v procesu dela ter škodo, ki bo nastala zaradi izpada planiranega dela v času do konca veljavnosti pogodbe. Podjetje GAZELA ne nosi stroškov transporta v zvezi z vračilom blaga s strani naročnika zaradi odstopa od pogodbe.
Kadar naročnik ne izpolnjuje obveznosti iz pogodbe, ima podjetje GAZELA pravico od sklenjene pogodbe odstopiti.
DODATNI STROŠKI
Za vračila blaga na naročnikovo zahtevo (odstop od pogodbe), podjetje GAZELA naročnika bremeni za dodatne stroške v višini 20 % vrednosti, pri čemer mora biti blago v originalni embalaži, brez dodatnih oznak in ne sme biti rabljeno ali poškodovano. Če kateri od teh pogojev ni izpolnjen vračilo blaga ni možno.
SHIPMENT AND DELIVERY TIME
The company GAZELA delivers the goods to the customer at his business address in a way, which it considers most appropriate, unless agreed otherwise in a written form. GAZELA is not responsible for delays by the postal service provider or for damage to the packaging. Products in stock at GAZELA's headquarters are available within working 1-2 days. Products that are in stock at the supplier are available within 3-10 working days. It is also possible to pick up in person at the GAZELA headquarters. The delivery time depends on the complexity and scope of the order, as well as on the availability of resources in the company GAZELA. The delivery deadline is the subject of the agreement when concluding the contract.
CONTRACT WITHDRAWAL
The client has the right to withdraw from the contract in written form at any time, but bears all costs incurred until the moment of withdrawal in the work process, and damage that will occur due to failure of the planned work in the period until the end of the contract. GAZELA does not bear the costs of delivery for the returned goods due to customer withdrawal from the contract. GAZELA has the right to withdraw from the contract, if the client does not fulfill the contract’s obligations.
EXTRA COSTS
For the return of goods at the customer's request (withdrawal from the contract), company GAZELA charges the customer for additional costs of 20% of the value, where the goods must necessary be in the original packaging, without additional markings and must not be used or damaged. If any of these conditions are not met, goods refund is not possible.
JAMSTVO ZA NAPAKE
Podjetje GAZELA jamči, da je blago brez napake, da je blago skladno z zahtevami specifikacijami in namenom uporabe in da količina in kvaliteta ustreza naročilu.
Če ni določeno drugače, obdobje jamstva traja 12 mesecev po izdaji računa. Naročnik mora o morebitni napaki obvestiti podjetje GAZELA v roku 10 delovnih dni po odkritju pravnih in stvarnih napak. Podjetje GAZELA je dolžna nadomestiti oz. popraviti blago z napako. V tem primeru podjetje GAZELA bremenijo vsi stroški povezani s popravilom ali nadomestitvijo blaga.
XXXXX XXXX
V primeru višje sile je vsaka stranka dolžna o dogodku obvestiti nasprotno stran. Podjetje GAZELA v primeru višje sile ne prevzema odgovornosti za zamude.
VAROVANJE POSLOVNIH SKRIVNOSTI
Podjetje GAZELA je dolžna vse informacije in podatke, ki jih prejme od naročnika, varovati kot poslovno skrivnost in se zavezuje, da teh podatkov ne bo posredovala tretjim osebam brez predhodne odobritve naročnika.
WARRANTIES
The company GAZELA guarantees that the goods are without defects, that the goods comply with the requirements of the specifications and the purpose of use and that the quantity and quality correspond to the order.
Unless otherwise specified in the contract, the warranty period lasts 12 months after delivery of the goods. The Client must notify company GAZELA of the error within 10 working days after the discovery of legal and factual errors. The company GAZELA is obliged to replace or. to repair defective goods. In this case, company GAZELA is charged with all costs related to the repair or replacement of the goods.
FORCE MAJEURE
In case of force majeure, each party is obliged to inform the other party about the event. The company GAZELA does not accept responsibility for delays in case of a force majeure.
CONFIDENTIALITY
The company GAZELA shell keep confidential and shall not disclose any of the data, documents, marketing material or any other information regarding the order to any third parties without the prior approval of the client.
DODATNI POGOJI POSLOVANJA
Dostava
Če je potrebno, lahko naročnik dostavi orodje / merilo / instrument oz. drug izdelek na sedež podjetja GAZELA.
Pri dostavi naročnik predloži tudi vso razpoložljivo spremljajočo tehnično dokumentacijo in vso pomožno opremo.
Prevzem blaga
V kolikor naročnik ve ali sumi, da gre morda pri dostavljenem orodju / merilu / instrumentu oz. drugem izdelku za kakšno okvaro ali napačno delovanje, je dolžan ob naročilu, na to opozoriti osebje podjetja GAZELA, saj osebje vedno pristopi k delu s predpostavko, da je orodje / merilo / instrument oz. drug izdelek funkcionalno brezhiben.
Dobavljeno blago ostaja do plačila celotnega računa v lasti podjetja GAZELA.
Če se ob pregledu odkrije okvara, se o tem takoj obvesti naročnika. V primeru pisnega oz. ustnega dogovora za izvedbo popravila se orodje / merilo / instrument oz. drug izdelek v popravilo preda servisnemu oddelku.
Varnost
Naročnik je dolžan, da so orodje / merilo / instrument oz. drug izdelek poslani na podjetje GAZELA v stanju, ki niso in ne smejo biti nevarna za zdravje ljudi ali okolje.
ADDITIONAL TERMS AND CONDITIONS
Delivery
If necessary, the client may deliver the tool
/ gage / instrument or any other product to the headquarters of GAZELA.
Upon delivery, the client also submits all available accompanying technical documentation and all auxiliary equipment.
Acceptance of goods
If the client knows or suspects that the tool
/ gage / instrument or any other product may be defected or malfunctioned, he is obliged to warn the staff of GAZELA when ordering, as the staff always approaches the work on the assumption that the tool / gage / instrument or any other product is functionally flawless.
The delivered goods remain the property of GAZELA until the invoice is fully paid.
If a defect is found during the inspection, the client shall be notified immediately. In the case of written or oral agreement to carry out the repair, tool / gage / instrument or any other product is handed over to the service department.
Safety
The client is obliged that the tool / gage / instrument or any other product sent to GAZELA are in such a state that they are not and must not be dangerous to human health or the environment.
