FORCE MAJEURE. Any delay in compliance, defective compliance or failure to fulfil the obligations under the Purchase Order or any contractual agreement by either party will be excused to the extent that the Seller is unable to produce,sell or deliver,or Purchaser is unable to accept, buy or use,the goods or services covered by the Purchase Order, directly as a result of an event or occurrence could not have been foreseen or if it could have been foreseen was unavoidable, including, government orders, fires, floods, windstorms, explosions, natural disasters, war, sabotage or acts of terrorism; provided that written notice of such force majeure event (including the anticipated duration ofthe delay) has been given by the affected party to the other party as soon as possible and alwaysduring the ten firsts daysaftertheforcemajeureeventoccurs). During the force majeure event affecting Supplier's performance, Purchaser may, at its option, reduce or modify its delivery schedule with the affected Supplier and its replacement by another Supplier or require Supplier to provide goods or services from other sources to perform with the Purchase Order. The Supplier commits itself to use all available means to ensure that the harmful effects of any force majeure event are kept to a minimum for the Purchaser and, as promptly as possible, resume full performance under this contract. T o t h i s e f f e c t , t h e P u r c h a s e r m a y r e q u e s t t h e Supplier in writing the commitment to resume the contractual relationship within 30 days. Failing that or, if required, the Supplier does not reply by the same means of communication within five days, the Purchaser may bulunabilir. Tedarikçi bunu yapamaz veya gerektiğinde aynı bilgi alışverişi yöntemiyle beş gün içinde cevap vermezse, Satınalıcı, Satınalıcı'ya sorumluluk yüklemeksizin ve Tedarikçi için herhangi bir tazminat hakkı olmaksızın, Satın Alma Emri'ni derhal feshedebilir.
FORCE MAJEURE. If the obligations arising from the contract cannot be fulfilled by the parties for reasons such as natural disasters, fire, explosions, civil wars, hostilities, riots, popular (public) movements, declaration of mobilization, strikes, lockouts and epidemics, infrastructure and internet failures, power outages (hereinafter collectively referred to as "Force Majeure"), which are beyond the control of the parties, the parties shall not be liable for this. During this period, the rights and obligations of the parties arising from this Agreement shall be suspended.
FORCE MAJEURE. 11.1. An event qualifies as a force majeure event under this Agreement, provided that (i) such event could not have been prevented or remedied although the affected Party has exercised due care and diligence and taken necessary measures, and (ii) the consequences of such event have negatively affected the fulfilment of the obligations under this Agreement (“Force Majeure”).
11.2. The events to be deemed Force Majeure within the framework of the aforementioned general principles are, without limitation, as follows:
(i) Declaration of partial or general mobilization, warfare,
(ii) Terrorist acts, nuclear, biological and chemical attacks and accidents, (iii) Natural disasters such as fire, flood, earthquake, volcanic eruption, storm, avalanche, lightning, etc.
FORCE MAJEURE. In all events deemed as force majeure by law, TeknoSA shall not be liable for late performance or non-performance of these Terms and Conditions. These and similar events shall not be considered as delay or non-performance or default on the part of TeknoSA, nor shall any obligation for compensation arise for TeknoSA due to these events.
FORCE MAJEURE. Honeywell is not liable for any delay in production or delivery of goods if due to a force majeure event, which includes, among other things, shortages or inability to obtain materials or components delays or refusals to grant an export license or the suspension or revocation thereof, or any other acts of any government that would limit Honeywell’s ability to perform, fire, earthquake, flood, severe weather conditions or anyother acts of God, quarantines, epidemics, pandemics or other regional medical crisis, labour strikes or lockouts, riots, strife, insurrection, civil disobedience, armed conflict, terrorism or war (or imminent threat of same), or any other cause whatsoever beyond Xxxxxxxxx'x reasonable control. If the force majeure event continues for longer than 90 days, either party may terminate Buyer’s purchase order and Buyer will pay Honeywell for work performed prior to termination and all reasonable expenses incurred by Honeywell as a result of such termination. In the event of delays in delivery or performance caused by force majeure or Buyer, the date of delivery or performance shall be extended by the period of time Honeywell is actually delayed or as mutually agreed. If, for reasons other than the foregoing, Honeywell should default or delay or not deliver goods, nothing herein shall grant the Buyer any rights that may exceed the rights of the Buyer under the applicable laws.
FORCE MAJEURE. AA shall not have any responsibility to fulfill lately or non-performance of this agreement’s “WEBSITE TERMS OF USE” because of the force majeure legally. In the case of like this situations, AA shall not have any liability to pay compensation. Besides that, AA shall not be deemed to be in default or non-performance or delay.
FORCE MAJEURE a. None of the parties hereto shall be responsible against the other party for any loss, damage, cost or expense arisen due to or related with any delay, restriction, prevention or failure in fulfilling its obligations attributable to any uncontrollable event and/or acts of god, laws and regulations, administrative measures, court orders and rulings, earthquake, flood, fire, explosion, war, terrorism, riot, sabotage, accident, epidemics, delays in deliveries or defects in the goods supplied by the manufacturer (“Force Majeure”). CELLMARK may not be held responsible for any act of the customs or adverse weather conditions, problems attributable to the manufacturer and similar reasons and delays and/or cancellations in international transport.
b. Upon occurrence of any Force Majeure event, the party subject to such event shall immediately inform the other party in writing and indicate the reason of the event and how it may affect its obligations under the confirmed order. In case of delays, the delivery obligation shall be suspended for the time lost due to Force Majeure.
FORCE MAJEURE. 13.1. The parties or any one of the parties shall bear no responsibility in relation with this Contract in the event any of the following situations is realized:
13.1.1. Instructions and request of any authority; or war, commotion, acts of enemies, acts of sabotage, strike , worker or employee conflicts, lockout and all natural disasters including fire; and all government restrictions which absolutely render impossible performance of obligations and responsibilities arising out of this Contract by both or any one of the parties.
13.1.2. Sudden changes, i.e. unforeseen crisis which might occur at any moment in the economy and/or the market during the effective term of the Contract.
13.1.3. All other events considered as force majeure by law or in practice.
13.2. Upon failure of any party in the performance of responsibilities due to force majeure events, the affected party shall immediately inform the other party in writing with a detailed description of the force majeure event.
FORCE MAJEURE. 10.1. Neither the Company nor the Client will be liable for failure to perform or delay in performing obligations under the Agreement which have become practicably impossible because of a Force Majeure Event. Written notice of a party’s failure or delay in performance due to a Force Majeure Event must be given to the other party no later than five (5) business days following the Force Majeure Event commencing, which notice shall describe the Force Majeure Event and the actions taken to minimize the impact thereof. All delivery dates in these T&Cs affected by a Force Majeure Event shall be suspended for the duration of such Force Majeure Event. When feasible, the Agreement shall not be cancelled but rescheduled and deliverables for mutually agreed dates to be set as soon as practicable after the Force Majeure Event ceases to exist.
10.2. If circumstances causing the Force Majeure Event cannot be permanently removed, or result in a delay extending beyond thirty (30) business days, the Agreement shall be automatically terminated, and the parties shall be relieved from their further contractual obligations, except for their accrued rights, if any, and the final accounting arising from or relating to the Agreement.
FORCE MAJEURE. The following shall be considered herein as events of force majeure constituting cause for the cancellation or suspension of the seller’s contractual obligations, without any right of recourse for the buyer: accidents affecting the manufacture or storage of the products, total or partial interruption of supplies of raw materials or energy, particularly default by carriers, fire, flooding, breakdown of machinery, total or partial strikes, administrative decisions, acts attributed to third parties, war and all and any external occurrences likely to delay or prevent the performance of the seller’s obligation or to render such performance economically exorbitant.
