索赔（ Claims）. 货物抵达目的口岸后，或，最终用户开箱验货时，如果外观、设计及材料/工艺、质量、技术规格或数量/重量发现与合同规定不符（属于保险公司和运输公司的责任除外），买方应该依据中国海关的检验报告或者卖方调试工程师签署的检查调试报告，有权要求替换或补偿，所有费用（包括但不限于商检费、替补件来回的运费、保险费、仓储费、货物装载卸货费等）均由卖方承担。质量保证期内，货物因质量、性能、做工、材质、外观等问题导致最终用户不能实现其对货物的正常使用的（包括但不限于对全部可期待功能的正常使用），买方应立即书面通知卖方，并同时随附海关或其他第三方权威机构出具的检验报告作为索赔依据。卖方在接到买方的索赔后，有责任立即解决相应的问题，全部或部分地替换货物或根据货物的损坏程度进行折价；若有必要，在卖方承担费用的前提下，买方也可自行修复损坏的货物，买方有权从应付的货款中直接扣减该费用，不足部分买方有权继续向卖方追索。如果卖方在收到买方的上述索赔后一个月内未能作出答复，则视为索赔已为卖方所接受。 在货物正常使用期限内，如因货物质量问题造成的买方、最终用户或其他第三方的人身损害、经济损失等，由卖方负责赔偿。买方因卖方交付的货物侵害第三方的合法权益，而被要求向第三方承担赔偿责任，买方在承担赔偿责任后有权向卖方追偿。保修期内，货物因同一生产质量问题经卖方 2 次修理后仍无法修复或仍发生故障的，买方有权要求卖方在合理期限内更换全新的产品。 After the arrival of the goods at destination port, or at the unpacking inspection by the End User, if the appearance, design and materials/workmanship, quality, technical specifications, or quantity/weight of the goods be found not in conformity with the stipulations of the contract, except those liable for the insurance company or the owners of the vessel, the Buyer shall have the right to claim for replacement with new goods, or compensation against the Seller. The claim shall be based on the Inspection Certificate issued by the CUSTOMS P.R.CHINA, or the inspection report signed by Commissioning Engineer of the Seller. All the expenses related to replacement or compensation, include but not limited to inspection charges, freight of returning the goods and sending the replace one, insurance premium, storage charges, loading and unloading charges etc., shall be borne by the Seller. During warranty period, if the goods cannot be used normally by the End User due to any problem in quality, performance, workmanship, material or appearance, the Buyer shall immediately notify the Seller in written notice and attach the Inspection Certificate issued by the CUSTOMS P.R.CHINA or other authority department. The Inspection Certificate shall be accepted as the evidence of the claim. The Seller, in accordance with the Buyer’s claim, is obliged to immediately resolve the corresponding defect(s) by replacing the goods in whole or in part, or by discounting the price based on the state of defect(s). Where necessary, the Buyer shall be at liberty to eliminate the defect(s) on its own at the Seller’s expense. 索赔（ Claims）. 在收到货物 天内，除了保险公司或货运船主愿意承担责任外，如发现货物的质量、规格或数量与合同条款不符，买方有权凭中华人民共和国海关指定机构（中国检验认证集团 CCIC）出具的检验证明，要求卖方调换新货，或者赔偿，所有产生的费用（如检验费、货物返运费和新货运费、额外保险费、仓储费、装卸费等）由卖方承担。设备保修期内，因为质量不合格、差的加工工艺或者劣质的材料导致设备在运行过程中出现问题，买方应立即书面通知卖方，并依据中华人民共和国国家质量监督检验检疫总局（AQSIQ）出具的检验证明提出索赔要求。出具的检验证明文件应作为索赔依据被认可。卖方应根据买方的要求立即负责解决设备出现的问题，完全或部分调换设备部件。如果有必要，买方可以自行处理设备出现的问题，但费用由卖方承担。如果卖方在收到买方上述维修要求后一个月内没有回应，视同卖方已经接受要求。 Within 90 days after the arrival of the goods at destination, should the quality, specification, or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyer shall, on the strength of the Inspection Certificate issued by the Designated agency of General Administration of Customs of the People’s Republic of China (China Certification & Inspection Group, here in after referred to as CCIC), have the right to claim for replacement with new goods, or for compensation, and all the expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Seller. As regards quality, within warranty period, should damages occur in the course of operation because of inferior quality, poor workmanship or inferior material used, the Buyer shall immediately notify the Seller in writing and put forward a claim supported by Inspection Certificate issued by Administration of Quality Supervision, Inspection and Quarantine (AQSIQ). The Certificate so issued shall be accepted as the base of a claim. The Seller, in accordance with the Buyer’ claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity according to the state of defect(s). If the Seller fail to answer the Buyer within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Seller.
