04A First Tranche in relation to the First Project Phase. The disbursement of the first Tranche in relation to the First Project Phase under Article 1.02 is conditional upon receipt by the Bank in form and substance satisfactory to it, on or before the date falling 7 (seven) Business Days before the Scheduled Disbursement Date, of the following documents or evidence: a legal opinion issued from the Minister of Justice of the Borrower in the English language on the due execution of this Contract by the Borrower. Such opinion shall be acceptable in form and substance to the Bank and shall be supported by the relevant documents evidencing the Borrower’s authority to enter into the Contract, as well as evidence of due ratification of this Contract in accordance with the applicable laws of Ukraine or confirmation that such ratification is not required under the applicable laws of Ukraine (responsible authority Ministry of Justice); a legal opinion issued by the Promoter satisfactory to the Bank confirming that the Project Agreement has been duly authorised, executed and delivered for and on behalf of the Promoter and constitutes a valid and legally binding obligation of the Promoter, enforceable in accordance with its terms; evidence in the English language of the powers of Xx. Xxxxxx Xxxxxxxx, Deputy Chairman of the State Road Administration of Ukraine - Ukravtodor to sign this Contract on behalf of the Borrower (responsible authority Ministry of Foreign Affairs); evidence provided by the Promoter in the English language of the powers of Xx. Xxxxxx Xxxxxxxx, Deputy Chairman of the State Road Administration of Ukraine - Ukravtodor to sign the Project Agreement on behalf of the Promoter; evidence that all approvals and consents necessary to proceed with the implementation of the Project have been received, and that the Promoter shall to the satisfaction of the Bank have been given the necessary authority and powers to operate the Project; evidence provided by the Ministry of Finance that no exchange control consents are necessary to permit the Borrower to receive disbursements as provided in this Contract, to repay the disbursed Tranches (as referred to in Article 2, Section 01) and to pay interest and all other amounts due hereunder, including the opening and maintenance of the accounts to which the Borrower directs the Bank to disburse the Credit; the Bank has received a letter from the Ministry of Finance advising the Bank that the Borrower will provide sufficient funds in its state budget to complete the Project; t...

  • CONDITIONAL UPON PAYMENT 12.1 Where applicable, You agree that this Agreement is conditional upon Apollo being paid by the Travel Agent or Travel Wholesaler (Agent) who arranged this Agreement on Your behalf.   • Allocation of Senior Reduction Amount to the Reference Tranches On each Payment Date prior to the Termination Date, after allocation of the Tranche Write-down Amount or Tranche Write-up Amount, if any, for such Payment Date as described above, the Senior Reduction Amount will be allocated to reduce the Class Notional Amount of each Class of Reference Tranche in the following order of priority, in each case until its Class Notional Amount is reduced to zero:

  • Refinancing Preparation Advance; Capitalizing Front-end Fee and Interest (a) If the Loan Agreement provides for the repayment out of the proceeds of the Loan of an advance made by the Bank or the Association (“Preparation Advance”), the Bank shall, on behalf of such Loan Party, withdraw from the Loan Account on or after the Effective Date the amount required to repay the withdrawn and outstanding balance of the advance as at the date of such withdrawal from the Loan Account and to pay all accrued and unpaid charges, if any, on the advance as at such date. The Bank shall pay the amount so withdrawn to itself or the Association, as the case may be, and shall cancel the remaining unwithdrawn amount of the advance.”

  • Payment of Debt or Delinquency to the State Pursuant to §§2107.008 and 2252.903, Texas Government Code, Contractor agrees any payments owing to Contractor under this Agreement may be applied directly toward any debt or delinquency Contractor owes the State of Texas or any agency of the State of Texas, regardless of when it arises, until paid in full.

  • TERMINATION DUE TO CHANGE IN FUNDING ‌ 35 In the event funding from HCA, MCO, State, Federal, or other sources is withdrawn, reduced, or limited 36 in any way after the effective date of this Contract and prior to its normal completion, either party may 37 terminate this Contract subject to re-negotiations.

  • Available Funds-Contingency-Termination a. The State is prohibited by law from making commitments beyond the term of the current State Fiscal Year. Payment to Local Agency beyond the current State Fiscal Year is contingent on the appropriation and continuing availability of Agreement Funds in any subsequent year (as provided in the Colorado Special Provisions). If federal funds or funds from any other non-State funds constitute all or some of the Agreement Funds, the State’s obligation to pay Local Agency shall be contingent upon such non-State funding continuing to be made available for payment. Payments to be made pursuant to this Agreement shall be made only from Agreement Funds, and the State’s liability for such payments shall be limited to the amount remaining of such Agreement Funds. If State, federal or other funds are not appropriated, or otherwise become unavailable to fund this Agreement, the State may, upon written notice, terminate this Agreement, in whole or in part, without incurring further liability. The State shall, however, remain obligated to pay for Services and Goods that are delivered and accepted prior to the effective date of notice of termination, and this termination shall otherwise be treated as if this Agreement were terminated in the public interest as described in §2.C.

  • Commercial Operation Date (COD 15.1.1 The Project shall be deemed to be complete when the Completion Certificate or the Provisional Certificate, as the case may be, is issued under the provisions of Article 14, and accordingly the commercial operation date of the Project shall be the date on which such Completion Certificate or the Provisional Certificate is issued (the “COD”). The Project shall enter into commercial service on COD whereupon the Concessionaire shall be entitled to demand and collect Annuity Payments in accordance with the provisions of this Agreement.
