4Amendments Sample Clauses

4Amendments. This Contract may be amended by mutual agreement of the parties. Such amendments will not be binding unless they are in writing and signed by personnel authorized to bind each of the parties.

4Amendments. This Agreement may only be amended or otherwise modified by a written agreement duly executed by each of the Parties hereto.

4Amendments. To the extent permitted by Law, and subject to Section 1.4, this Agreement may be amended by a subsequent writing signed by each of the Parties upon the approval of each of the Parties, whether before or after shareholder/stockholder approval of this Agreement has been obtained; provided, that after any such approval by the holders of West Suburban Common Stock, there shall be made no amendment that reduces or modifies in any respect the consideration to be received by holders of West Suburban Common Stock.

4Amendments. No modification or amendment of this Agreement and no waiver of any of the terms or conditions hereof shall be valid or binding unless made in writing and duly executed by all the Parties.

4Amendments. This Agreement cannot be changed orally and no amendment to this Agreement shall be effective unless evidenced by an instrument in writing executed by the parties hereto.

4Amendments. Except for amendments authorized by Section 3.1(b), this Agreement and any provision hereof may be amended, waived (except as otherwise provided herein), or modified from time to time only by a written instrument signed by: (a) the Members holding a majority of the Class A Common Units, (b) the Members holding a majority of the Class B Preferred Units, and (c) the Members holding a majority of the Class C Common Units. Notwithstanding the foregoing, (i) any amendment or modification modifying the rights or obligations of any Member in a manner that is disproportionately adverse to (A) such Member relative to the rights of other Members in respect of Units of the same class or series shall be effective only with that Member’s consent or (B) a class or series of Common Units relative to the rights of another class or series of Common Units shall be effective only with the consent of the Members holding a majority of the Units in that class or series and (ii) (A) any amendment to this Agreement that materially and disproportionately adversely affects the Class D Incentive Unit Members (as compared to the other Members) shall also require the consent of the holders of a majority of the Class D Incentive Unit Member and (B) any amendment to this Agreement that materially and disproportionately adversely affects a specific Class D Incentive Unit Member (as compared to the other Class D Incentive Unit Members) shall also require the consent of the specific Class D Incentive Unit Member.

4Amendments. No amendment or waiver of any provision of this Agreement nor consent to any departure by any Party hereto shall be effective unless it is in a written agreement executed by the Note Agent, the Note Control Agent, the ABL Agent and the ABL Control Agent and if such amendment or waiver would directly and adversely affect a Grantor, such Grantor. Any such waiver or consent shall be effective only in the specific instance and for the specific purpose set forth therein.

4Amendments. This lease may only be varied by a deed signed by or on behalf of each of the parties.

4Amendments. Except as set forth herein, this Agreement may not be amended modified or terminated in any manner other than by an agreement in writing signed by the parties.

4Amendments. No amendments or other modifications to this Agreement may be made except by a writing signed by all Parties. No amendment or waiver of this Agreement requires the consent of any individual, partnership, corporation or other entity not a party to this Agreement. Nothing in this Agreement, express or implied, is intended to confer upon any third person any rights or remedies under or by reason of this Agreement.
