5Subcontracting Sample Clauses

5Subcontracting. (1)The Service Provider shall not subcontract, assign or delegate to any Third Party its obligations with respect to the processing of Patient Information in connection with the Services without prior written approval of the LHIN and without obtaining written contractual commitments of such Third Party with respect to the processing of Patient Information substantially the same as those of this Agreement.

5Subcontracting. Licensor acknowledges and agrees that portions of the work to be performed by Licensee under this Agreement may be performed on behalf of Licensee by Third Parties, including contract research organizations and contract manufacturing organizations (“Subcontractors”). Any Subcontractor to be engaged by Licensee to perform Licensee’s obligations set forth in this Agreement will meet the qualifications that Licensee believes are appropriate for the performance of work similar in scope and complexity to the contracted activity. The activities of any such Subcontractor will be considered activities of Licensee under this Agreement. Licensee will be responsible for ensuring compliance by any such Subcontractor with the terms of this Agreement, as if such Subcontractor(s) were Licensee hereunder.
5Subcontracting. BMS shall have the right to engage Affiliates or Third Party subcontractors to perform any of its activities under this Agreement. Century shall have the right to subcontract its activities under a Research Plan or Century Work Plan to any Affiliate or Third Party subcontractor (a) that is set forth on Schedule 4.5, (b) to the extent expressly provided for in such Research Plan or Century Work Plan, (c) to whom the aggregate budgeted payments under the Research Plan or Century Work Plan are [***] or less or (d) approved by the JSC. Any Affiliate or Third Party subcontractor to be engaged by a Party to perform a Party’s obligations set forth in this Agreement shall meet the qualifications typically required by such Party for the performance of work similar in scope and complexity to the subcontracted activity. Any Party engaging an ​ Affiliate or Third Party subcontractor hereunder shall remain principally responsible and obligated for such activities.

  • Subcontracting 6.1 The Grantee is responsible for the performance of its obligations under this Agreement, including in relation to any tasks undertaken by subcontractors.

  • Subcontractor Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

  • Subcontract The Distributor may, at its expense and with the approval of the Trustees, appoint another firm or company as its sub-distributor or agent. The Distributor shall not, however, be relieved of any of its obligations under this Agreement by the appointment of such sub-distributor or agent.

  • Subcontracts The contractor or subcontractor shall insert in any subcontracts the clauses set forth in paragraph (1.) through (4.) of this section and also a clause requiring the subcontractors to include these clauses in any lower tier subcontracts. The prime contractor shall be responsible for compliance by any subcontractor or lower tier subcontractor with the clauses set forth in paragraphs (1.) through (4.) of this section.

  • Sub-Contracting 31.1. The Authority approves the appointment of the sub-contractors specified in Schedule 10 (Approved Sub-contractors) in respect of the obligations specified in that Schedule.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses.   • Assignment; Subcontracting (a) Except as expressly provided in Section 12(b) below, this Agreement shall not be assignable or delegable, whether by merger, operation of law or otherwise, by any Fund without the written consent of BNY Mellon, or by BNY Mellon without the written consent of the affected Fund, in each case which consent may not be unreasonably withheld. This Agreement shall extend to and shall be binding upon the Parties hereto, and their permitted successors and assigns.

  • Contracting Employees will not contract for any electrical or communications work in direct competition with their immediate Employer.

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.

  • Assignment and Subcontracting City and Consultant recognize and agree that this Agreement contemplates personal performance by Consultant and is based upon a determination of Consultant’s unique personal competence, experience, and specialized personal knowledge. Moreover, a substantial inducement to City for entering into this Agreement was and is the professional reputation and competence of Consultant. Consultant may not assign this Agreement or any interest therein without the prior written approval of the City. Consultant shall not subcontract any portion of the performance contemplated and provided for herein, other than to the subcontractors listed in the Consultant’s proposal, without prior written approval of the City.
