Access Agreements. Prior to the Closing, Seller and Purchaser will negotiate mutually acceptable terms of an agreement providing Seller with access, for a period of at least 12 months following the Closing Date, to Purchaser’s personnel, including the Transferred Employees, information technology systems, including email, third party service providers and books and records, and use of office space and office support for employees of Seller, as is reasonably necessary or appropriate in connection with the administration of the Bankruptcy Case and to permit Seller to wind-down and liquidate Seller’s Bankruptcy estates following the Closing.
Access Agreements. Following delivery by the sellers under the Acquisition Agreements, no books or records of any Loan Party are located or maintained on any premises owned by a third party or leased by a third party to any Loan Party other than such premises as to which Lxxxxx has received an Access Agreement from such Loan Party.

Without limiting the obligations above, if a Loan Party is not able to obtain an Access Agreement with respect to any real property that is required pursuant to the immediately preceding sentence or Borrower’s current principal place of business located at 0000 Xxxx 0000 Xxxxx, Xxxx Xxxx Xxxx, XX 00000, then within ten (10) Business Days after the due date for any rental payments with respect to such real property, Borrower shall deliver to Agent (i) evidence in form reasonably satisfactory to Agent that such rental payment was made and (ii) a certification that no default or event of default exists under any such lease.
