Access and Use of Firmware, Documentation and Cloud Service. Subject to Customer’s compliance with this Agreement and the Documentation, Markforged grants Customer a nonexclusive, non- sublicensable, non-transferable license to (a) use the Firmware, solely as installed on Markforged 3D Printers, and (b) use the Documentation, solely in connection with Customer’s use of the Markforged Technology. Subject to Customer’s compliance with this Agreement and the Documentation, Markforged also grants Customer the right to access and use the Cloud Service for Customer’s internal business purposes, solely in connection with Customer’s use of the Products. Customer may permit the Cloud Service to be accessed and used by Authorized Users provided all such access and use is solely for Customer’s internal business purposes and Customer remains responsible and liable for all acts and omissions of such Authorized Users. Customer will not grant access to the Cloud Service to any third party other than Authorized Users.

Access and Use of Firmware, Documentation and Cloud Service. Subject to Your compliance with these Terms of Service and the Documentation, Markforged grants You a nonexclusive, non-sublicensable, non-transferable license to (a) use the Firmware, solely as installed on Markforged 3D Printers, and (b) use the Documentation, solely in connection with your use of the Markforged Technology. Subject to Your compliance with these Terms of Service and the Documentation, Markforged also grants You the right to access and use the Cloud Service for Your own personal purposes (if You are an individual) or for Your internal business purposes (if You are an entity), solely in connection with Your use of the Products. If You are an entity, You may permit the Cloud Service to be accessed and used by Authorized Users provided all such access and use is solely for Your internal business purposes and You remain responsible and liable for all acts and omissions of such Authorized Users. Authorized Users will be required to review and agree to these Terms of Service before they access and use the Cloud Service. You will not grant access to the Cloud Service to any third party other than Authorized Users.

  • Joint Network Implementation and Grooming Process Upon request of either Party, the Parties shall jointly develop an implementation and grooming process (the “Joint Grooming Process” or “Joint Process”) which may define and detail, inter alia:

  • Specific Restrictions on Use of Licensed Materials Unauthorized Use. Licensee shall not knowingly permit anyone other than Authorized Users to use the Licensed Materials.

  • Software and Documentation Licensee may make as many copies of the Software necessary for it to use the Software as licensed. Each copy of the Software made by Licensee must contain the same copyright and other notices that appear on the original copy. Licensee will not modify the Documentation. Documentation may: (a) only be used to support Licensee’s use of the Software; (b) not be republished or redistributed to any unauthorized third party; and (c) not be distributed or used to conduct training for which Licensee, or any other party, receives a fee. Licensee will not copy any system schema reference document related to the Software.

  • Allocation and use of scarce resources Any procedures for the allocation and use of scarce resources, including frequencies, numbers and rights of way, will be carried out in an objective, timely, transparent and non-discriminatory manner. The current state of allocated frequency bands will be made publicly available, but detailed identification of frequencies allocated for specific government uses is not required.

  • Terms of Use 1. The Contribution will be made Open Access under the terms of the Creative Commons Attribution License which permits use, distribution and reproduction in any medium, provided that the Contribution is properly cited.

  • END USER AGREEMENTS (“EUA H-GAC acknowledges that the END USER may choose to enter into an End User Agreement (“EUA) with the Contractor through this Agreement, and that the term of the EUA may exceed the term of the current H-GAC Agreement. H-GAC’s acknowledgement is not an endorsement or approval of the End User Agreement’s terms and conditions. Contractor agrees not to offer, agree to or accept from the END USER, any terms or conditions that conflict with those in Contractor’s Agreement with H-GAC. Contractor affirms that termination of its Agreement with H-GAC for any reason shall not result in the termination of any underlying EUA, which shall in each instance, continue pursuant to the EUA’s stated terms and duration. Pursuant to the terms of this Agreement, termination of this Agreement will disallow the Contractor from entering into any new EUA with END USERS. Applicable H-GAC order processing charges will be due and payable to H-GAC

  • Access to Software Access Rights to Software which is Results shall comprise: Access to the Object Code; and, where normal use of such an Object Code requires an Application Programming Interface (hereafter API), Access to the Object Code and such an API; and, if a Party can show that the execution of its tasks under the Project or the Exploitation of its own Results is technically or legally impossible without Access to the Source Code, Access to the Source Code to the extent necessary. Background shall only be provided in Object Code unless otherwise agreed between the Parties concerned.
