Access Rights to SIM-ICON Background for Exploitation. If a Partner needs access to SIM-ICON Background of a SIM-ICON Project Party for the Exploitation of its own Program Foreground and Access Rights are applied for during the Exercise Term, the SIM-ICON Project Party shall grant such Access Rights against Market Price. Notwithstanding the foregoing, if the owner of the SIM-ICON Background is a Program Company and Access Rights are applied for in accordance with the foregoing, it shall enter into good faith negotiations with the requesting Partner concerning the Market Price against which Access Rights may be granted, but shall have no obligation to grant such Access Rights if this would severely affect its legitimate interests.

Access Rights to SIM-ICON Background for Exploitation. If a Program party needs access to SIM-ICON Background of a SIM-ICON Project Party for the Exploitation of its own Program Foreground and Access Rights are applied for up until twelve (12) months after termination of the Program, the SIM-ICON Project Party shall grant such Access Rights against Fair and Reasonable Terms. If the SIM-ICON Background consists of a patent (application), Access Rights may be applied for up until the later of (1) eighteen (18) months after the priority date of the patent (application); or (2) twelve (12) months after termination of the particular SIM-ICON Project; and are subjected to entering into an option or license agreement. Notwithstanding the foregoing, if the owner of the SIM-ICON Background is a Program Company and Access Rights are applied for in accordance with the foregoing, it shall enter into good faith negotiations with the requesting party concerning the Fair and Reasonable Terms against which Access Rights may be granted, but shall have no obligation to grant such Access Rights if this would severely affect its legitimate interests.

  • CSEA Rights CSEA shall have the following rights in addition to the rights contained in any other portion of this Agreement.

Except with respect to any proprietary materials, programs, and documentation provided by Supplier or its suppliers and in existence prior to the services being performed under the Agreement (“Pre-Existing Materials”), all right, title and interest in the Deliverables, including all intellectual property rights, will be the exclusive property of Accenture, to the extent permitted by applicable law. Supplier hereby assigns to Accenture ownership of all right, title and interest in the Deliverables (excluding Pre-Existing Materials) and waives any moral rights therein.

  • Data Rights User retains all rights over any data and other information that User may provide, upload, transfer or make available in relation to, or which is collected from User’s devices or equipment by, the Software, including, without limitation, information pertaining to how the Software obtains, uses, and respond to inputs, location, ambient conditions, and other information related to use and operation of the Software with Honeywell or third-party products, software or websites (“Usage Data”). Honeywell has the right to retain, transfer, disclose, duplicate, analyze, modify, and otherwise use Usage Data to protect, improve, or develop its products, services, and related offerings. All information, analysis, insights, inventions, and algorithms derived from Usage Data by Honeywell (but excluding the Usage Data itself) and any intellectual property rights obtained related thereto, are owned exclusively and solely by Xxxxxxxxx.

  • Background IP Each Party will own all right, title and interest in its Background IP.

  • Rights to Training Materials All intellectual property embodied in the training products, materials, methodologies, software and processes, provided in connection with the Training or developed during the performance of the Training (collectively, the “Training Materials”) are the sole property of Red Hat or a Red Hat Affiliate and are copyrighted by Red Hat unless otherwise indicated. Training Materials are provided solely for the use of the participants and may not be copied or transferred without the prior written consent of Red Hat. Training Materials are Red Hat's confidential and proprietary information.

  • Access Rights for Use 9.4.1 Access Rights to Foreground if Needed for Use of a Party's own Foreground including for third-party research shall be granted on Fair and Reasonable conditions. Access rights for internal research activities shall be granted on a royalty-free basis.

  • License Rights The Recipient must provide a license to its “subject data” to the Federal Government, which license is: (a) Royalty-free, (b) Non-exclusive, and (c) Irrevocable, (2) Uses. The Federal Government’s license must permit the Federal Government to take the following actions provided those actions are taken for Federal Government purposes: (a) Reproduce the subject data, (b) Publish the subject data, (c) Otherwise use the subject data, and (d) Permit other entities or individuals to use the subject data, and

  • Paid Claims without Supporting Documentation Any Paid Claim for which Practitioner cannot produce documentation shall be considered an error and the total reimbursement received by Practitioner for such Paid Claim shall be deemed an Overpayment. Replacement sampling for Paid Claims with missing documentation is not permitted.

  • Rights in Work Product (a) In the course of its performance under this Purchase Order, Seller may conceive or reduce to practice inventions, discoveries, improvements, concepts, in tangible or intangible form, written materials, documentation, databases, designs, discs, tapes, programs, software, architectures, files and other material (collectively “Work Product”). Any and all rights in intellectual property, including without limitation, copyrights (including mask work rights), patents, design rights, database rights, rights in know-how, trade secrets and other confidential information and other similar rights worldwide, whether registered or not and including any applications for the foregoing (collectively “Intellectual Property”) in and to the Work Product shall be the exclusive property of TI from the date of inception. All Work Product shall be deemed "work-for-hire" as defined under United States copyright law and shall be the exclusive property of TI from the date of inception. If the Work Product does not qualify as a "work-for-hire", then in any event all Intellectual Property rights in and to the Work Product, including the copyright, will be deemed automatically transferred to TI from its inception. Xxxxxx agrees to assign and hereby assigns to TI Intellectual Property rights in and to all Work Product and waives any moral rights in favor of TI. TI shall have the exclusive worldwide right to use, edit, translate, publish, transfer or sell the Work Product prepared by Seller in any manner that TI deems fit without further payment to Seller. The Work Product shall be deemed to be TI confidential information and shall not be disclosed to other than TI or used by Seller or others without TI’s prior written consent.
