Accreditation and Authorization. DQS is authorized by accreditation and registration bodies (such as authorities, standard owners, associations etc.) to issue assessment reports and certificates according to various standards under the accreditations ISO 17021, ISO 45011 and ISO 17065. This includes the obligation to allow employees or auxiliary persons of these bodies (e.g. conducting Witness Audits) to participate in assessments. DQS allows these individuals access to both its own documents and client-related data if required for accreditation procedures. These employees will be bound to confidentiality. At this, client's consent shall be deemed as given.

Accreditation and Authorization. DQS India is authorized by various accreditation bodies and authorities to issue assessment reports and certificates according to various standards and specifications. This includes the obligation to allow employees or auxiliary persons of these bodies to participate in assessments. Because this is essential for accreditation procedures, DQS India allows these individuals access to both its own documents and Customer-related data, subject to the confidentiality requirements set forth herein. In addition, whenever individual standards or specifications explicitly require, Customer-related data and assessment results are passed on to these bodies. By executing this Agreement Customer consents to all of the foregoing.
Accreditation and Authorization. BQAS is a Certified Body registered with the governing authority and authorized to issue assessment report and certificates according to MSPO standards and specifications. This includes the obligation to allow employees or auxiliary person of these bodies to participate in assessments. According to the applicable accreditation and authorization rules, BQAS allow these individuals access to both itsown documents and Client-related data, subject to the confidentiality requirements set forth herein. In addition, whenever individual standards or specifications explicitly require, Client- related data and assessment results are passed on to these bodies. By accepting these Certification and Assessment regulations the client consents to the applicable accreditation and authorization requirements, including all the foregoing.

  • Organization and Authorization The Investor is duly incorporated or organized and validly existing in the jurisdiction of its incorporation or organization and has all requisite power and authority to purchase and hold the securities issuable hereunder. The decision to invest and the execution and delivery of this Agreement by such Investor, the performance by such Investor of its obligations hereunder and the consummation by such Investor of the transactions contemplated hereby have been duly authorized and requires no other proceedings on the part of the Investor. The undersigned has the right, power and authority to execute and deliver this Agreement and all other instruments (including, without limitations, the Registration Rights Agreement), on behalf of the Investor. This Agreement has been duly executed and delivered by the Investor and, assuming the execution and delivery hereof and acceptance thereof by the Company, will constitute the legal, valid and binding obligations of the Investor, enforceable against the Investor in accordance with its terms.

  • Authority and Authorization Each of the Consultants has full power and authority to enter into this Plan and carry out the obligations hereunder. Execution of this Plan and performance by the Consultants hereunder constitutes a valid and binding obligation of the Consultants and performance hereunder will not violate any other agreement to which any of the Consultants is a party.

  • Power and Authorization The Company is duly incorporated, validly existing and in good standing under the laws of its state of incorporation, and has the power, authority and capacity to execute and deliver this Agreement, to perform its obligations hereunder, and to consummate the Exchange contemplated hereby.
