CORNERSTONE acknowledges that this Agreement allows CORNERSTONE (its employees and agents) access to CDI, which the ACADEMY may have the ultimate legal responsibility to maintain in a confidential and secure fashion. Accordingly, CORNERSTONE (its employees and agents) shall provide the ACADEMY with control over the CDI sufficient to satisfy all applicable legal and regulatory standards. In any event, CORNERSTONE (its employees and agents) shall at all times make CDI available to the ACADEMY within a reasonable time of receiving a request for same.

Acknowledgment of Access to CDI. Service provider acknowledges that the Agreement allows the service provider access to CDI. Data access shall be limited to those with a “need to know” and controlled by specific individual(s). As required by law, at no time will UC data be physically or logically accessible to a foreign national. The service provider must have procedures and solutions implemented to prevent unauthorized access, and the procedures will be documented and available for UC to review upon request. All of the service provider’s employees with access to UC’s CDI must be identified with names provided to the university upon request.

Acknowledgment of Access to CDI. Contractor acknowledges that this Contract will require access to FERPA- confidential data to effectuate this Contract. Contractor agrees to sign a Data Sharing Agreement (“DSA”) before accessing any THECB confidential data, in order to act as THECB’s authorized representative. Contractor shall ensure that all employees and agents involved in work under this Contract have been trained to properly handle confidential educational records and personally identifiable information (PII) in accordance with all applicable laws. If data is needed to test the product or solution, Contractor shall provide synthetic data that does not require any data from THECB. No data from THECB shall be used to test any product under this Contract.
