Acknowledgment of Authority. The City of Dover hereby acknowledges its authority to enter into this contract in accordance with the contract's terms regardless of the term of or duration of any specific member upon the City Council of the Employer. It is the intention of the City to continue in full force and effect this Agreement regardless of the specific membership on the City Council of the Employer at any specific time.
Acknowledgment of Authority. As a condition of receiving this Award, the Participant agrees that the Committee, and to the extent authority is afforded to the Board, the Board, shall have full and final authority to construe and interpret the Plan and this Agreement, and to make all other decisions and determinations as may be required under the terms of the Plan or this Agreement as they may deem necessary or advisable for the administration of the Plan or this Agreement, and that all such interpretations, decisions and determinations shall be final and binding on the Participant, the Company and all other interested persons.
Acknowledgment of Authority. Upon the execution hereof, each Member hereby authorizes and directs the Directors appointed by it to be its true and lawful attorney in the Member's name and on the Member's behalf to take at any time all such action which such Directors are expressly authorized to perform, or which a Member is expressly required to perform, under this Agreement.
Acknowledgment of Authority. All Parties hereby respectively confirm that the individuals executing the Agreement are authorized to execute this Agreement and to bind the respective entities to the terms contained herein. All Parties confirm they have read this Agreement, conferred with counsel, and fully understand its contents.
Acknowledgment of Authority. If at any time any Person requests or requires that all of the Members consent in writing to one or more actions which less than all Members (the "Acting Members") have the authority to take on behalf of the Company pursuant to this Agreement and the Act, or to affirm the authority of the Acting Members to take such action or actions, each Member shall upon the written request of the Acting Members promptly execute such a consent in form satisfactory to the Acting Members.
Acknowledgment of Authority. Owner is the owner or tenant of the Polling Place and has authority to grant permission to BCSOE to use the Polling Place pursuant to the terms of this Agreement. Owner’s representative signing the License represents and warrants that they are duly authorized by all necessary and appropriate action to execute the License on behalf of Owner and does so with full legal authority.
Acknowledgment of Authority. Client acknowledges that the operation of the AutoBorrow service will permit any person conducting transactions on the Account to have the ability to access the Swing Line Facility. Client hereby confirms the authority of each person designated as an authorized signer in resolutions provided to Bank or otherwise authorized, permitted or allowed by Client to conduct transactions on the Account, to also access and conduct transactions on the Swing Line Facility through the AutoBorrow service. Client also acknowledges that presentation for payment of lost or stolen checks can result in an advance from the Swing Line Facility in accordance with the terms hereof. Client agrees to take all appropriate precautions against such risk, to notify Bank in the event checks are lost or stolen, and to hold Bank harmless and indemnify it immediately upon demand if such an event occurs.
