Acquisition of Exchange Shares for Investment. (a) The Stockholders are acquiring the Exchange Shares for investment purposes and for each Stockholders’ own accounts and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and the Stockholders have no present intention of selling, granting any participation in, or otherwise distributing the same. Each Stockholder further represents that they do not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.
Acquisition of Exchange Shares for Investment. (a) Each Ingenious Shareholder is acquiring the Exchange Shares for investment for Ingenious Shareholder’s own account and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and each Ingenious Shareholder has no present intention of selling, granting any participation in, or otherwise distributing the same. Each Ingenious Shareholder further represents that he or she does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.
Acquisition of Exchange Shares for Investment. (a) RQS Capital is acquiring the Exchange Shares for investment for its own account and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and RQS Capital has no present intention of selling, granting any participation in, or otherwise distributing the same. RQS Capital further represents that it does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.

(a) Such Chance High Shareholder is acquiring the Exchange Shares for investment purposes and for such Chance High Shareholder’s own account and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and such Chance High Shareholder has no present intention of selling, granting any participation in, or otherwise distributing the same. Such Chance High Shareholder further represents that it does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.

(a) Such Hongkong Limited Shareholder is acquiring the Exchange Shares as an investment for such Hongkong Limited Shareholder’s own account and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and such Hongkong Limited Shareholder has no present intention of selling, granting any participation in, or otherwise distributing the same. Such Hongkong Limited Shareholder further represents that he does not have any contract, undertaking, agreement, or arrangement with any person to sell, transfer, or grant participation to such person or to any third person, with respect to any of the Exchange Shares;

(a) Each Dragons Shareholder is acquiring the Exchange Shares for investment for Dragons Shareholder’s own account and not as a nominee or agent, and not with a view to the resale or distribution of any part thereof, and each Dragons Shareholder has no present intention of selling, granting any participation in, or otherwise distributing the same. Each Dragons Shareholder further represents that he or she does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.

Such Privco Shareholder further represents that it does not have any contract, undertaking, agreement or arrangement with any person to sell, transfer or grant participation to such person or to any third person, with respect to any of the Exchange Shares.
