Action by Member. In exercising the voting or other approval rights as provided herein, the Member may act through meetings and/or written consents.

Action by Member. Since there is only one Member, any action of the Member can be taken unilaterally by written consent or by any other means deemed appropriate by the Member.

Action by Member. Subject to the limitations set forth in the Definitive Agreement, the Member may authorize or take any action permitted or required of it by the Act, the Articles of Organization, or this Agreement by vote of its Board of Trustees, or by or through any person or persons designated by its Board of Trustees to act on its behalf. Any such authorization or action by the Member shall be filed with the Secretary of the Company. The annual election of the Member’s Board of Trustees shall be considered the annual meeting of the Member, which shall be held in accordance with the terms and provisions of the Member’s Bylaws.
Action by Member. Action required or permitted to be taken by the Member may be taken with or without a meeting and with or without written consents or other writings describing the action taken, signed by the Member and delivered to the Company for inclusion in its records. The signature of any one or more officers of the Member on any document or instrument purporting to bind the Company shall constitute conclusive evidence as to third parties of the authority of such person to execute such document or instrument on behalf of the Company and thereby so bind the Company.
