Action by Member. Since there is only one Member, any action of the Member can be taken unilaterally by written consent or by any other means deemed appropriate by the Member.

Action by Member. Subject to the limitations set forth in the Definitive Agreement, the Member may authorize or take any action permitted or required of it by the Act, the Articles of Organization, or this Agreement by vote of its Board of Trustees, or by or through any person or persons designated by its Board of Trustees to act on its behalf. Any such authorization or action by the Member shall be filed with the Secretary of the Company. The annual election of the Member’s Board of Trustees shall be considered the annual meeting of the Member, which shall be held in accordance with the terms and provisions of the Member’s Bylaws.
Action by Member. Any action which may be required by law, the Company's Articles of Organization or this Agreement to be taken by a Member as a member of the Company shall be evidenced in writing, signed by an authorized representative of such Member for and on behalf of such Member and shall be filed in the minute book of the Company as part of the permanent records of the Company. Unless the board of directors, or other body having an equivalent authority, of a Member entitled to vote has designated a different person to exercise the Member's voting rights, the president of such Member, or a person who is designated in a written instrument executed by such president and delivered to the Company, shall be entitled to exercise a voting right on behalf of such Member. In connection with this provision, the Company shall be entitled to rely upon any written instrument received by it purporting to be executed by the president of a Member.
Action by Member. The Member, in the capacity as such, shall take any action with respect to the Company by formal written consent thereto.
