Additional Covenants of the Grantors. (a) Each Grantor will keep the Collateral insured in accordance with the requirements under the Securities Purchase Agreement. Each Grantor will comply with all of its material obligations under each of the Securitization Transaction Documents to which it is a party, except where the failure to comply with the same would not result in a Material Adverse Effect. Each Grantor will not use or otherwise deal with the Collateral in violation of this Agreement, the Securities Purchase Agreement (or any Related Agreement), the Securitization Transaction Documents, any insurance policy covering the Collateral or Applicable Laws. Each Grantor will pay promptly when due all taxes, assessments and governmental charges on the Collateral or for its use or operation, except for taxes and assessments permitted to be contested as provided in the Securities Purchase Agreement. The Secured Party may, at its option, upon the failure of any Grantor to do so in compliance with the terms of this Agreement and the Securities Purchase Agreement, discharge any taxes, liens, security interests or other encumbrances to which any Collateral is at any time subject (including in respect of FICA and withholding taxes), and each Grantor agrees to reimburse the Secured Party on demand for any payments made or expenses reasonably incurred by the Secured Party pursuant to the foregoing authorization, and any unreimbursed amounts shall constitute secured Obligations for all purchases hereof.

The Implementation Team will also have responsibility for coordinating effective communication of progress and issues that arise between the Parties. Special meetings of the Implementation Team may be called by either Party upon no less than thirty (30) days' prior written notice to the other Party, which notice must be accompanied by a written agenda of items to be discussed at such special meeting.
