Additional Information of the Trust. If this Agreement becomes effective subsequent to the first day of a month or shall terminate before the last day of a month, compensation for that part of the month this Agreement is in effect shall be prorated in a manner consistent with the calculation of the fee as set forth above. Subject to the provisions of subsection (b) hereof, payment of the Investment Adviser's compensation for the preceding month shall be made as promptly as possible after completion of the computations contemplated herein. During any period when the determination of net asset value is suspended by the Board of Trustees, the net asset value of a share as of the last business day prior to such suspension shall for this purpose be deemed to be the net asset value at the close of each succeeding business day until it is again determined.

The reductions shall be applicable to each Series regardless of size on a "uniform percentage" basis. Determination of the portion of the net assets of that Series to which a reduced rate is applicable is made by multiplying the net assets of that Series by the "uniform percentage," which is derived by dividing (i) the amount by which the combined assets of the three Commenced Series or the Commenced Series and the Bond Fund Corresponding Series, as the case may be, exceed the minimum amount to which such rate applies by (ii) such combined assets. Additional Information of the Trust. The Trust shall bear the costs of registration and qualification of its shares, preparation and filing of the documents listed in this Section 5.2 and all taxes to which an issuer is subject on the issuance and transfer of its shares. The Company shall be responsible for and shall bear the costs of filing such documents with any state insurance regulators requiring such filing. The Trust shall prepare and file on a timely basis with the appropriate regulatory authorities, at the Trust's expense, all required tax returns pertaining to Trust matters.

GFS agrees to treat all Trust Proprietary Information and Customer Data as proprietary to the Trust and further agrees that it shall not divulge any Trust Proprietary Information or Customer Data to any person or organization except as may be provided under this Agreement or as may be directed by the Trust or as may be duly requested by regulatory authorities.
