Additional Representations and Warranties of the Company and the Guarantor. In addition to the representations and warranties set forth in Section 1 of the Underwriting Agreement Basic Provisions, each of the Company and the Guarantor, jointly and severally, represents and warrants to each Underwriter, as of the date hereof as follows: (a) All of the issued and outstanding shares of capital stock of the Company have been duly authorized and validly issued, are fully paid and non-assessable and were not issued in violation of any preemptive or similar rights granted pursuant to the organizational documents of the Company or any statutory provisions of Cayman Islands law, and all outstanding shares of the Company are owned by the Guarantor, either directly or through wholly owned subsidiaries of the Guarantor free and clear of any security interest, claims, liens or encumbrances. (b) The Guarantor has an authorized capitalization as set forth in the Disclosure Package and the Final Prospectus, and all of the issued and outstanding shares of capital stock of the Guarantor have been duly and validly authorized and issued, are fully paid and non-assessable; the Common Shares and Preferred Shares deliverable upon conversion of the Securities have been duly authorized and validly issued, and are fully paid and non-assessable and were not issued in violation of any preemptive or similar rights granted pursuant to the organizational documents of the Guarantor or any statutory provisions of Brazilian law; and the ADSs and ADRs, when issued and delivered upon conversion of the Securities in accordance with the terms of the applicable Securities and the applicable Indentures and against the deposit of the Common Shares or Preferred Shares, as the case may be, in respect thereof in accordance with the provisions of the applicable Deposit Agreements, will be duly and validly authorized and issued, fully paid and non-assessable, and free and clear of all liens, encumbrances, equities or claims. (c) The Common Shares, the Preferred Shares, the ADSs and the ADRs conform in all material respects to the descriptions thereof contained in the Disclosure Package and the Final Prospectus. Additional Representations and Warranties of the Company and the Guarantor. In addition to the representations and warranties set forth in Section 1 of the Underwriting Agreement Basic Provisions, each of the Company and the Guarantor, jointly and severally, represents and warrants to the Underwriters, as of the date hereof, as follows: (a) The consolidated historical financial statements and schedules of Inco Limited and its consolidated subsidiaries included in the Base Prospectus, Preliminary Prospectus, Disclosure Package, Final Prospectus and the Registration Statement present fairly in all material respects the financial condition, results of operations and cash flows of Inco Limited as of the dates and for the periods indicated, comply as to form with the applicable accounting requirements of the Act and have been prepared in conformity with generally accepted accounting principles applied on a consistent basis throughout the periods involved (except as otherwise noted therein). (b) The assumptions used in preparing the pro forma financial information included in the Registration Statement and the Disclosure Package provide a reasonable basis for presenting the significant effects directly attributable to the acquisition of Inco Limited, the related pro forma adjustments give appropriate effect to those assumptions, and the pro forma columns therein reflect the proper application of those adjustments to the corresponding historical financial statement amounts.

(c) Neither the execution and delivery of this Guaranty nor the consummation of the transactions contemplated herein will conflict with or result in a breach of, or require any consent under, any applicable law or regulation, or any order, writ, injunction or decree of any court or governmental authority or agency, or any agreement or instrument to which each Guarantor is a party or by which each Guarantor or its property is bound or to which each Guarantor is subject, or constitute a default under any such agreement or instrument, or (except for the liens created pursuant hereto) result in the creation or imposition of any lien or encumbrance upon the Guarantors' revenues or assets pursuant to the terms of any such agreement or instrument. (d) Each Guarantor has received and reviewed copies of the Master Repurchase Agreement. (e) This Guaranty is the legal, valid and binding obligation of each Guarantor, enforceable against each Guarantor, in accordance with its terms, subject to bankruptcy, insolvency and similar laws and to the availability of equitable remedies. (f) There is no action, suit or proceeding at law or in equity by or before any governmental authority, arbitral tribunal or other body now pending, or to the best of each Guarantor's knowledge, threatened against or affecting each Guarantor or any of its property that is reasonably likely to have a material adverse effect on each Guarantor's condition, financial or otherwise. (g) No authorizations, approvals or consents of, and no filings or registrations with, any governmental authority are necessary for the execution, delivery or performance by the Guarantors of this Guaranty.
