Adherence to the Law. Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and CMHA Calgary, and all interactions shall be governed by the laws of the Province of Alberta, excluding its conflicts of law provisions. You and CMHA Calgary agree to submit to the personal and exclusive jurisdiction of the courts located within the Province of Alberta, to resolve any dispute or claim arising from this Agreement. You agree to comply with all local, provincial, federal, and national laws, statutes, ordinances, and regulations that apply to your interaction with CMHA Calgary. You hereby grant CMHA Calgary the right to take steps CMHA Calgary believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. You agree that CMHA Calgary has the right, without liability to you, to disclose any data and/or information to law enforcement authorities, government officials, and/or a third party, as CMHA Calgary believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to CMHA Calgary’s right to cooperate with any legal process relating to your interaction with CMHA Calgary, and/or a third-party claim that your actions are unlawful and/or infringes third party's rights).

Adherence to the Law. This Contract is subject to the provisions of the Code of Federal Regulations, the amendments thereto, relevant state and local laws, ordinances, regulations and pertinent health and behavioral health accreditation agencies and organizations.

PSP and PSP’s subcontractors/subconsultants shall submit required PAR information into the B2G system.   • LISTING RULES IMPLICATION Pursuant to the Framework Agreement, Biostime Pharma subscribed for and ISM issued the Subscription Shares, representing 20% of the total issued share capital of ISM as enlarged by the issuance of the Subscription Shares at an aggregate subscription price of EUR2,522,925 on 2 July 2013. Upon satisfaction of the Condition Precedent as prescribed in the Framework Agreement, the Company and ISM entered into the Bond Subscription Agreement on 30 July 2013. As the Share Subscription and Bond Subscription are both related to the Proposed Project, entered into by relevant members of the Group with the same party, the Board considers that it is appropriate to aggregate the Share Subscription and the Bond Subscription for the purpose of determining the relevant percentage ratios under Rules 14.15(2) and 14.22 of the Listing Rules. As certain aggregate applicable percentage ratios (as defined in the Listing Rules) are more than 5% but all of them are less than 25%, the Framework Agreement, the Bond Subscription Agreement and the transactions contemplated thereunder constitute discloseable transactions for the Company and are subject to the notification and announcement requirements set out in Chapter 14 of the Listing Rules.
