AER. 3.1 AER is an independent statutory authority established under Part IIIAA of the Competition and Consumer Act 2010 (Cth) (the CCA). The AER has an independent board and shares staff, resources and facilities with the ACCC. The ACCC and AER share many common objectives, both working to protect, strengthen and supplement competitive market processes. 3.2 The AER has a range of functions, including regulating electricity and gas transmission and distribution networks under the National Electricity Law and Rules and the National Gas Law and Rules, monitoring of the wholesale electricity and gas markets and the compliance monitoring and enforcement of the National Electricity Law and Rules, National Gas Law and Rules and the National Energy Retail Law and Rules.
AER. It is possible to find negative values of αaer. They are most likely due to statistical uncertainties in the fit procedure, or can be due to systematic effects. As the laser is far from the FD site, the brightest measured laser light profile, after accounting for relative calibrations of the FD and the laser, occurs during a clear reference night. However, there are uncertainties (see section 4.2.3) in the calibrations that track the FD PMT gains and the CLF laser energy relative to the reference period. Therefore, in some cases it is possible that parts of a laser light profile recorded during a period of interest can slightly exceed the corresponding profile recorded during a reference period. Typically, these artifacts occur during relatively clear conditions when the aerosol concentration is low. The effect could also happen if a localized scattering region, for example a small cloud that was optically too thin to be tagged as a cloud, remained over the laser and scattered more light out of the beam. However, since negative values of αaer are unphysical, they are set to zero. Since the integrated αaer values are renormalized to the measured τ meas profile, this procedure does not bias the aerosol profile towards larger values. The remaining values of αaer are numerically integrated to get the fit optical depth τ fit . The final values for αaer and τ fit can be used for corrections in light P04009 aer transmission during air shower reconstruction. aer In figure 9, examples of laser and τaer profiles are displayed from an average night and from a cloudy night when the laser pulse passed through a cloud.   • Interim Period 6.1 The Seller undertakes to the Purchaser that in the period from the Signing Date to the Completion Date, except with the approval of the Purchaser: (A) none of the Subsidiaries’ articles of association or other constitutional documents will be changed or altered; (B) each of the Subsidiaries shall use its best endeavours to carry on its respective business in all material respects in the ordinary and usual course and consistent with past practice; (C) neither the Seller nor the Subsidiaries shall terminate or amend the employment agreements with any of the Employees other than with the prior written approval of the Purchaser; (D) no Subsidiary shall allot, issue, redeem or repurchase securities, loan capital (including shareholder loans and profit participation rights) or shall become a party to any agreement to do so; and (E) no dividend or other distribution or repayment of capital is, or shall be, paid or declared by the Seller or any of the Subsidiaries, other than the Distribution. 6.2 The Seller further undertakes to the Purchaser that on the date hereof the Seller and the Subsidiaries will enter into the Economic Ownership Transfer Agreement. In connection therewith the Seller undertakes that in the period from the Signing Date to the Completion Date the legal title to the NV-Business shall be transferred by the Seller to the Subsidiaries by means of the execution of a deed of assignment (the “Deed of Assignment”) to be mutually agreed by the Seller and the Purchaser acting in good faith. In order to implement such transfer in accordance with the Deed of Assignment, the Seller shall undertake all necessary actions, including but not limited to: (A) by informing the debtors of the Accounts Receivable in writing that the Accounts Receivable have been assigned to the Purchaser; (B) by requesting the counterparties to the Contracts in writing for their co-operation to the transfer of contract to which the Seller is a party; and (C) to the extent not already referred to in this section 6.2, the proper fulfilment of applicable transfer requirements in respect of the Intellectual Property Rights and Further Assets and Liabilities owned and/or held by the Seller. 6.3 The Seller and the Purchaser hereby agree that in the period from the Signing Date to the Completion Date the Seller shall transfer the legal title to and economic ownership of the Seller Loans to the Subsidiaries, unless such transfer has materially adverse consequences for the Seller or the Subsidiaries; such determination to be made by the Seller and the Purchaser jointly acting reasonably.

Although We may, from time to time, recommend certain qualified Operators with whom We are familiar, We do not supply Operators. You must supply and employ any Operator who operates the Equipment and that Operator shall be deemed to be Your employee and acting under Your supervision or control for all purposes and shall be covered as an insured on all of Your applicable insurance policies.
