Agent Approval. In connection with the acquisition of any Collateral Obligation by the Borrower, the Borrower shall have received a copy of an Approval Notice with respect to such Collateral Obligation;
Agent Approval. Subject to the conditions set forth in this Agreement, Agent if it reasonably approves of the Letter of Credit Request, shall issue the Letter of Credit on or before five (5) Business Days following receipt of the documents required in §2.10(b), or at such later date as Borrower may direct in writing. Each Letter of Credit shall be in form and substance satisfactory to Agent in its sole discretion.
Agent Approval. Subject to Section 11.12(a) and except as otherwise provided in the Loan Documents, any determination, consent, approval or other action made by the Agent hereunder pursuant to any provision which states that such action shall or may be taken by the Agent shall bind all of the Lenders.
Agent Approval. The Administrative Agent shall have approved, in its sole discretion, the occurrence of the Second Funding Date.
Agent Approval. In connection with the acquisition of any Collateral Obligation by the Borrower (other than a Pre-Approved Collateral Obligation or Automatic Approval Collateral Obligation), the Borrower shall have received a copy of an Approval Notice and received an Information Package with respect to such Collateral Obligation, or in the case of Automatic Approval Collateral Obligations, the Agent has received an Information Package for such Collateral Obligation no later than 5 Business Days after the Cut-Off Date;
Agent Approval. The Agent will appoint a single representative of the Agent with full authority to provide necessary information required by AHQ and to provide approvals. The Agent will be required to proofread and approve all elements of final designs. Approval must be provided before production can continue and artwork is released. Corrections, if required, will be identified on proofs, artwork, facsimiles, or digital proofs and submitted for AHQ to revise and resubmit for the Agent’s approval. Final approval is required on every project and must be marked “Approved” with the name or initials of the individual who is authorized by the Agent to approve artwork for release and production. Email authorization from you will constitute authorization and approval. Quality of Source Materials Provided by the Agent Additional charges will apply when materials are submitted by the Agent in a form that prevents them from being readily used and applied at recognized professional standards. An example would be to recreate a low-resolution logo image file into a vector file.
