Servicer Obligations. In the event of any inconsistency between this Agreement and a Servicing Agreement with respect to obligations of a Servicer, the provisions of the applicable Servicing Agreement shall govern such obligations.
Servicer Obligations. (i) Xxxxx Fargo Bank shall have no obligation to provide investment directions pursuant to Section 2.11 or any other Section requiring investment directions from the Servicer.
(ii) Xxxxx Fargo Bank shall not be responsible for any deficiency collections or enforcement of the Borrower’s rights under the Second Tier Purchase Agreement, as set forth in Section 7.03(c)(i). The Administrative Agent hereby agrees to enforce the rights of the Borrower under the Second Tier Purchase Agreement.
Servicer Obligations. (i) Computershare, in any of its capacities hereunder, shall have no obligation to provide investment directions pursuant to Section 2.11 or any other Section requiring investment directions from the Servicer.
(ii) Computershare, in any of its capacities hereunder, shall not be responsible for any deficiency collections or enforcement of the Borrower’s rights under the First Tier Master Purchase Agreement or Second Tier Purchase Agreement, as set forth in Section 7.03(c)(i). The Administrative Agent xxxxxx agrees to enforce the rights of the Borrower under the Second Tier Purchase Agreement.
Servicer Obligations. Xxxxx Fargo Bank, in any of its capacities hereunder, shall have no obligation to provide investment directions pursuant to Section 2.10 or any other Section requiring investment directions from the Servicer.
Servicer Obligations a) Servicer shall at all times represent ABC in a professional manner to Customers and shall not make any written or oral representations, either direct or implied, to any Customer that are or could reasonably be construed to be negative or defamatory in nature toward ABC, its business, the brand name of the equipment it selects, or its Customer contracts.
b) Servicer shall ensure that its officers, owners, employees, independent contractor technicians, and authorized subcontractors who provide Services as part of any Program (collectively, “Servicer Associates”) understand Servicer’s obligations under this Agreement and agree to comply with and be bound by such obligations, and that Servicer is responsible for the actions and omissions of its Servicer Associates. Servicer shall be responsible for ensuring that Servicer and Servicer Associates comply with all ABC operating policies and procedures.
c) Servicer will provide and pay for all labor, tools, materials, services, supplies, storage, transportation, insurance, equipment, and any other items and expenses including applicable sales tax payments, necessary to promptly complete the Services required under any service work orders or other service requests assigned and authorized by ABC (collectively, a “Dispatch”) as part of any Program.
d) Servicer represents that is qualified to do the work and possesses all necessary licenses and permits to perform and complete Services as more fully set forth in Sections 6 and 7. Servicer shall ensure that its employees, Servicers, and agents also possess all required licenses and permits while performing Services under this Agreement. Servicer shall ensure that only certified persons perform services for which any certification or license may be required.
e) Servicer agrees to conduct itself, and to require its Servicer Associates to conduct themselves, in strict compliance with all applicable federal, state, and local laws, rules, and regulations of all governmental authorities, including but not limited to, the Occupational Safety and Health Act of 1970 and any amendments thereto, as well as any state or local occupational safety and health requirements that may apply, laws on preventing transactions with terrorists or terrorist support organizations, and to act at all times consistent with the highest standard of fair trade, fair compensation, and business ethics, including compliance with all federal, state, and local building codes, environmental, and/or hazard...
Servicer Obligations. In the event of any inconsistency between this Agreement and a Servicing Agreement with respect to obligations of a Servicer, the provisions of the applicable Servicing Agreement shall govern such obligations and the Master Servicer’s obligations hereunder shall be modified accordingly, unless doing so would otherwise require or allow the Master Servicer or any Servicer to take any action that could cause an Adverse REMIC Event in violation of the requirements set forth in Section 10.01(f) hereof.

The Borrower shall not permit the Servicer to (i) agree to any amendment, waiver or other modification of any Transaction Document to which it is a party and to which the Facility Agent is not a party without the prior written consent of the Facility Agent, (ii) agree or permit the Borrower to agree to a Material Modification with respect to any Collateral Obligation without the prior written consent of the Facility Agent, (iii) interpose any claims, offsets or defenses it may have as against the Borrower as a defense to its performance of its obligations in favor of any Affected Person hereunder or under any other Transaction Documents or (iv) change its fiscal year so that the reports described in Section 7.6(i) would be delivered to the Facility Agent and each Agent less frequently than every 12 months.
Servicer Obligations. The Borrower shall not permit the Servicer to (i) agree to any amendment, waiver or other modification of any Transaction Document to which it is a party and to which the Agent is not a party, in each case in a manner materially adverse to the Agent or any Lender, without the prior written consent of the Agent, (ii) upon the occurrence and during the continuance of an Event of Default, agree to permit the Borrower to agree to a Material Modification with respect to any Collateral Obligation without the prior written consent of the Agent, (iii)interpose any claims, offsets or defenses it may have as against the Borrower as a defense to its performance of its obligations in favor of any Affected Person hereunder or under any other Transaction Documents or (iv) change its fiscal year so that the reports described in Section 7.5(i)(i) would be delivered to the Agent and each Lender Agent less frequently than every 12 months, subject to any additional time period as is otherwise contemplated by Section 7.5(i)(i).
Servicer Obligations. A. SERVICER shall service LENDER’S and its affiliates’, Federal Xxxxxxxx (SSL), Federal PLUS and Federal Consolidation loan accounts as provided herein, and any similar student loan Accounts as may be mutually agreed upon, originated under the Act (as defined below). For the purposes of this Agreement, an “Account” shall mean one or more loans having the same holder, borrower (and student in the case of a Federal PLUS loan), loan program, maturity date and repayment terms. Xxxxxxxx loans, whether subsidized or unsubsidized, shall be considered to have been made under the same loan program.
Servicer Obligations. The Servicer shall not agree (and shall not permit the Borrower to agree) to any amendment, waiver or other modification of any Loan Documents other than as otherwise permitted pursuant to Section 5.19.
