Agent’s Books and Records. The books and records of the Administrative Agent showing the accounts between the Administrative Agent and the Borrower and (if any) the Administrative Agent and the Subordinated Creditor shall be admissible in any action or proceeding to enforce this Agreement and shall constitute prima facie evidence and proof of the items contained therein.

Agent’s Books and Records. The books and records of Agent showing the accounts between Agent and the Borrower and (if any) Agent and Subordinated Creditor shall be admissible in any action or proceeding to enforce this agreement and shall constitute prima facie evidence and proof of the items contained therein.
Agent’s Books and Records. The books and records of the Agent showing the account between the Agent and any Loan Party shall be admissible in any action or proceeding and constitute prima facie evidence and proof of the items contained therein, absent manifest error.
Agent’s Books and Records. On the Closing Date, on each ------------------------- date and at any time a Purchase is made hereunder and on each date and at any time any Collections are distributed to the Purchasers in reduction of the Aggregate Cash Investment, a duly authorized officer or employee of the Agent shall make appropriate notations in its books and records of the amount of such Purchase and the amount of such repayment, as applicable. Each of the Servicer and the Transferor hereby authorizes each duly authorized officer and employee of the Agent to make such notations on the books and records as aforesaid and every such notation made in accordance with the foregoing authority shall be prima facie evidence of the accuracy of the information so recorded and shall be binding on the Transferor and the Servicer absent manifest error.
Agent’s Books and Records. The Agent shall maintain books and records in which shall be recorded (i) the date and amount of each Incremental Transfer hereunder and the purchaser(s) thereof, (ii) the date and amount of and parties to any assignment of rights and obligations hereunder pursuant to Section 9.7, (iii) the amount of any Discount, fees or other amount due and payable or to become due from the Transferor to the Agent, the Company, each of the Bank Investors and/or the Collection Agent hereunder and (iv) the amount and date of any reduction in the Net Investment. The entries made in the Agent's books and records as described in this Section 2.2(e) shall be conclusive and binding on the Transferor for all purposes absent manifest error.
