Agreements with Manufacturers. To the extent that any warranties relating to the Aircraft are made available under an agreement between any manufacturer, vendor, subcontractor or supplier and Sublessee, Sublessee will: (i) apply the proceeds of any claim under such agreement in accordance with Clause 17.2; and (ii) take all such steps as are necessary at the end of the Sublease Term to ensure that the benefit of any of those warranties that have not expired is vested in Sublessor.

Agreements with Manufacturers. The Licensee shall have the right to arrange with another party to manufacture the Licensed Products or components of the Licensed Products for exclusive sale, use, and distribution by the Licensee. the Licensee agrees to enter into a written agreement with all such manufacturers, and agrees to incorporate into such written agreements all of the provisions, for the protection of the rights of Titan, which are contained in the form manufacturer agreement which is available from Titan. The Licensee further agrees to furnish Titan within 30 days of their execution copies of all agreement with such manufacturers.

Agreements with Manufacturers. Subject to LICENSOR’s written approval, LICENSEE may arrange with others to manufacture Licensed Products or components thereof for the exclusive sale, use, and distribution by LICENSEE, provided that LICENSEE first obtains any such third party’s agreement to comply with all of the terms of this Agreement by executing the document attached hereto as Exhibit B. Any breach of this provision by a manufacturer appointed by LICENSEE which is not cured within thirty (30) days following written notification by LICENSOR to LICENSEE of such breach shall be considered a breach of this Agreement by LICENSEE.

  • Agreements with Foreign Banking Institutions Each agreement with a foreign banking institution shall provide that: (a) the assets of each Portfolio will not be subject to any right, charge, security interest, lien or claim of any kind in favor of the foreign banking institution or its creditors or agent, except a claim of payment for their safe custody or administration; (b) beneficial ownership for the assets of each Portfolio will be freely transferable without the payment of money or value other than for custody or administration; (c) adequate records will be maintained identifying the assets as belonging to each applicable Portfolio; (d) officers of or auditors employed by, or other representatives of the Custodian, including to the extent permitted under applicable law the independent public accountants for the Fund, will be given access to the books and records of the foreign banking institution relating to its actions under its agreement with the Custodian; and (e) assets of the Portfolios held by the foreign sub-custodian will be subject only to the instructions of the Custodian or its agents.
