Alteration of Method of Calculation. If at any time the method of calculating the Index, any Successor Index or the Closing Index Level thereof on any particular day, is changed in a material respect, or if the Index or a Successor Index is in any other way modified so that such index does not, in the opinion of the Calculation Agent, fairly represent the level of the Index or such Successor Index had such changes or modifications not been made, then, from and after such time, the Calculation Agent shall, at the Close of Trading of the Relevant Exchanges on which the securities comprising the Index or such Successor Index traded on any date the Closing Index Level thereof is to be determined, make such calculations and adjustments as, in the good faith judgment of the Calculation Agent, may be necessary in order to arrive at a level of a stock index comparable to the Index or such Successor Index, as the case may be, as if such changes or modifications had not been made. The Calculation Agent shall calculate the Closing Index Level on any particular day and the Maturity Payment Amount with reference to the Index or such Successor Index, as adjusted. Accordingly, if the method of calculating the Index or a Successor Index is modified so that the level of such index is a fraction of what it would have been if it had not been modified, then the Calculation Agent shall adjust such index in order to arrive at a level of the Index or such Successor Index as if it had not been modified.

Alteration of Method of Calculation. If the publication of any of the Basket Indices, including the Xxxxxx Brothers U.S. Aggregate Index, is discontinued and a successor or substitute index is published that the Calculation Agent determines, in its sole discretion, is comparable to the discontinued Basket Index (the new index being referred to as a "Successor Component"), then the relevant closing levels of the applicable Basket Component will be determined by reference to the closing level of the Successor Component. If the Xxxxxx Brothers U.S. Aggregate Index is so discontinued, the Calculation Agent will have the discretion to select a securities index, or another exchange traded fund, as the "Successor Component." In addition, if the iShares® Xxxxxx Aggregate Bond Fund is de-listed from the American Stock Exchange LLC or ceases to be issued by iShares® Trust, the Calculation Agent will, in its sole discretion, substitute a Successor Component for that fund.

Accordingly, if the method of calculating the BXM Index or the successor index is modified so that the value of the BXM Index or the successor index is a fraction or a multiple of what it would have been if it had not been modified (e.g., due to a split in the index), then the calculation agent will adjust that index in order to arrive at a value of the index as if it had not been modified (e.g., as if the split had not occurred).
Alteration of Method of Calculation. If CBOE discontinues publication of the CBOE China Index and CBOE or another entity publishes a successor or substitute index that the Calculation Agent determines, in its sole discretion, is comparable to the discontinued CBOE China Index (the new index being referred to as a "Successor Index"), then the relevant closing levels shall be determined by reference to the Successor Index at the close of trading on the New York Stock Exchange, the American Stock Exchange LLC, The Nasdaq National Market, or the relevant exchange or market for the constituent securities of the Successor Index. The Calculation Agent also may select a Successor Index if there is a change in the laws or regulations of the People's Republic of China or any provincial or local government in China, including a change as to tax matters, that materially impacts the trading of the securities included in the CBOE China Index and that, in the reasonable judgment of the Calculation Agent, materially and adversely affects the Corporation's ability or the ability of Corporation's affiliates to hedge the Corporation's obligations under the notes. A legal or regulatory change of this kind is referred to as a "Regulatory Event." If a Successor Index is selected as a result of a Regulatory Event, the Successor Index selected by the Calculation Agent may be an index that relates to the securities of issuers organized in, or doing business in, China. Alternatively, following a Regulatory Event, the Successor Index may be an index that relates to the securities of U.S. issuers, or to the securities of issuers organized in, or that have their principal trading market in, one or more countries other than China. If the Calculation Agent selects a Successor Index that does not relate to the securities of issuers doing business in China, the returns on the notes may no longer depend to a material extent upon economic and business conditions in China, or the performance of the securities of Chinese companies. The Calculation Agent also may select a Successor Index consisting of securities of Chinese companies that are listed on Chinese or other foreign markets that are not adversely affected to the same degree by the regulatory change, but which have less liquidity, or smaller market capitalizations, or that otherwise trade differently or have different characteristics than securities listed in the United States securities markets.
