Appendix Terms. Notwithstanding any provisions of this Agreement to the contrary, the Option shall be subject to such special terms and conditions for the Optionee’s country of residence (and country of employment, if different), as are set forth in the Appendix to this Agreement (the “Appendix”). Further, if the Optionee transfers residency and/or employment to another country, any special terms and conditions for such country will apply to the Option to the extent the Company determines, in its sole discretion, that the application of such terms and conditions is necessary or advisable in order to comply with local law or to facilitate the operation and administration of the Option and the Plan (or the Company may establish alternative terms and conditions as may be necessary or advisable to accommodate the Optionee’s transfer). In all circumstances, the Appendix shall constitute part of this Agreement.
Appendix Terms. Notwithstanding anything to the contrary in this Agreement, the Parties acknowledge and agree to comply with any covenants set forth in Appendix A. The Parties further acknowledge and agree that any representations and warranties set forth in Appendix A are true and correct as of the Effective Date of this Agreement. The provisions in Appendix A will control over the other provisions in this Agreement to the extent of any conflict.

Further, if the Participant transfers residency and/or employment to another country, any special terms and conditions for such country will apply to the PRSUs to the extent the Company determines, in its sole discretion, that the application of such terms and conditions is necessary or advisable in order to comply with local law or to facilitate the operation and administration of the PRSUs and the Plan (or the Company may establish alternative terms and conditions as may be necessary or advisable to accommodate the Participant's transfer). In all circumstances, the Appendix shall constitute part of this Award Agreement.

Notwithstanding anything to the contrary in the Agreement, strictly to the extent that the Services being performed under the terms of the Agreement are under BARDA contracts awarded by the United States Government, the Parties acknowledge and agree to comply with any covenants set forth in Exhibit C. The Parties further acknowledge and agree that any representations and warranties set forth in Exhibit C are true and correct as of the Effective Date (as defined therein) of the First Amendment. The provisions in Exhibit C will control over other provisions in this Agreement to the extent of any conflict.”
