APPLICABLE LAW AND ENTIRE AGREEMENT. This Contract shall be governed, enforced and construed in accordance with the laws of the State of South Carolina, and shall be binding on the parties hereto and their respective heirs, devisees, executors, administrators, successors, and assigns. The parties further covenant and agree that this written instrument supersedes any and all others, and constitutes and expresses the entire agreement between the parties and there is no other agreement, oral or otherwise, varying or modifying the terms of the same.
APPLICABLE LAW AND ENTIRE AGREEMENT. This Agreement shall be interpreted according to the laws of the State of New York, U.S.
A. Subject to the following sentence, the parties agree that the appropriate and exclusive forum for any disputes arising under this agreement shall be the United States District Court for the Southern District of New York. Each party consents to the jurisdiction of this court, but, if that court determines it lacks jurisdiction, consents to the jurisdiction of the State courts of New York. The parties agree to waive any or all rights they may have to a jury trial with respect to disputes arising under this Agreement. Each party agrees that service of process in any action or proceeding shall be deemed sufficient if mailed, first class, postage prepaid, to the other at the address set forth in Section 15.5(b), as the same may be changed in accordance with that Section. This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except by a prior writing signed by an authorized officer of each party.

The existence, validity, construction, operation and effect of this Agreement and the Exhibits hereto, shall be determined in accordance with and be governed by the laws of the State of California, without reference to the conflicts of laws principles thereof. This Agreement and the Exhibits hereto, along with the Transponder Service Agreement dated as of April 21, 1997, constitutes the entire agreement between the parties, and supersedes all previous understandings, commitments or representations concerning the subject matter hereof. The parties each acknowledge that the other party has not made any representations other than those which are contained herein.

This Agreement constitutes the entire agreement between the parties, supersedes all previous understandings, commitments or representations and is intended as the complete and exclusive statement of the terms of the agreement between the parties concerning the subject matter hereof. This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except by a writing signed by each party hereto.

Customer agrees that any action or proceeding arising out of this agreement shall be brought and maintained in Connecticut, and hereby consents to the jurisdiction of courts located in Connecticut. This Agreement constitutes the entire Agreement between the parties, is intended as the complete and exclusive statement of the terms of the agreement between the parties, and supersedes all previous understandings, commitments or representations concerning its subject matter. Each party acknowledges that the other party has not made any representations other than those which are contained herein. This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except by a writing signed by an authorized officer of the party against whom the amendment, modification or waiver is sought to be enforced.
APPLICABLE LAW AND ENTIRE AGREEMENT. This Agreement shall be governed by and shall be construed according to the laws of the Province of Alberta and the federal laws of Canada applicable therein. All claims relating to this Agreement or to the Products shall be brought exclusively in the Federal or Provincial courts in the Province of Alberta. The provisions hereof are intended by the Buyer and Seller as a final expression of their agreement and are intended as a complete and exclusive statement of all applicable terms to the Buyer’s order. No waiver, modification or addition to any of these terms
APPLICABLE LAW AND ENTIRE AGREEMENT. This Agreement and the Exhibits hereto constitute the entire agreement between the parties, and supersedes all previous understandings, commitments or representations concerning the subject matter hereof, except for the Galaxy VIII(i) Lease Agreement and the Galaxy IIIC Lease Agreement. The parties each acknowledge that the other party has not made any representations other than those which are contained herein.
APPLICABLE LAW AND ENTIRE AGREEMENT. This Limited Warranty shall be governed by and construed in accordance with the laws of the State of California, U.S.A., exclusive of its conflict of laws principles. The U.N. Convention on Contracts for the International Sale of Goods shall not apply.

All disputes arising in connection with this Agreement which cannot be resolved by the parties by mutual consultation shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce in New York, New York by one or three arbitrators appointed in accordance with the said Rules and applying the substantive law of the State of Connecticut. This Agreement constitutes the entire agreement between the parties and supersedes all previous understandings, commitments or representations concerning its subject matter. This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except by a prior writing signed by an authorized officer of each party.
