Each Party hereto irrevocably waives any objection on the ground of venue, forum non-conveniens or any similar grounds and irrevocably consents to service of process by mail or in any other manner permitted by applicable law and consents to the jurisdiction of the courts of the Province of Ontario, Canada. The Parties further hereby waive any right to a trial by jury with respect to any lawsuit or judicial proceeding arising or relating to this Utility License. Any translation of this Utility License is performed for local requirements and in the event of a dispute between the English and any non-English versions, the English version of this Utility License shall govern, to the extent permitted by local law in the Licensee’s jurisdiction.

This Agreement will be provided and executed in English, and the Parties agree that in the event of any legal dispute in the interpretation of this Agreement, the English version shall prevail. This English version of the Agreement and the Parties hereto agree that the International Chamber of Commerce Court of Arbitration under the International Chamber of Commerce rules of Arbitration shall govern all disputes, which shall be arbitrated in the State of Nevada, United States of America.
