APPLICATION OF CONDITIONS/ SCOPE OF AGREEMENT. 1.1 Subject to any variation under clause 1.3, the Agreement shall be subject to these Conditions to the exclusion of all other terms and conditions (including any terms or conditions which the Customer purports to apply under any purchase order, confirmation of order, specification or other document. 1.2 No terms or conditions endorsed on, delivered with or contained in the Customer’s purchase order, confirmation of order, specification or other document shall form part of the Agreement simply as a result of such document being referred to in the Agreement. 1.3 These Conditions apply to all Telephone Europe’s sales and any variation to these Conditions and any representations about the Equipment or Services shall have no effect unless expressly agreed in writing and signed by a director of Telephone Europe. The Customer acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of Telephone Europe which is not set out in the Agreement. Nothing in these Conditions shall exclude or limit Telephone Europe’s liability for fraudulent misrepresentation. 1.4 Each order or acceptance of a quotation by the Customer from Telephone Europe shall be deemed to be an offer by the Customer to proceed subject to these Conditions. 1.5 No order placed by the Customer shall be deemed to be accepted by Telephone Europe until a written acknowledgment of order is issued by Telephone Europe or (if earlier) Telephone Europe delivers the Equipment and/ or Services to the Buyer. 1.6 In consideration of the payment by the Customer of Charges and any other sums due from Customer, Telephone Europe shall supply the Equipment and Services as described in this Agreement. This Agreement will be binding when signed by an MD or Service Director of Telephone Europe. 1.7 Telephone Europe shall carry out the obligations set out in clause 1.1 with reasonable skill and care and in accordance with an Order Form. 1.8 Unless expressly agreed in writing by Telephone Europe the time for performance of any obligation by Telephone Europe shall not be of the essence of this Agreement. 1.9 Customer acknowledges that Telephone Europe will supply the Equipment and Services at the request of Customer and that it is Customer’s responsibility to determine whether the Equipment and Services are suitable for its requirements. 1.10 Subject to any variation permitted in accordance with these Conditions, the Agreement will be on these Conditions to the exclusion o...

  • Construction of Agreement The parties mutually acknowledge that they and their attorneys have participated in the preparation and negotiation of this Agreement. In cases of uncertainty this Agreement shall be construed without regard to which of the parties caused the uncertainty to exist.

  • Certification of Funds; Budget and Fiscal Provisions; Termination in the Event of Non-Appropriation This Agreement is subject to the budget and fiscal provisions of the City’s Charter. Charges will accrue only after prior written authorization certified by the Controller, and the amount of City’s obligation hereunder shall not at any time exceed the amount certified for the purpose and period stated in such advance authorization. This Agreement will terminate without penalty, liability or expense of any kind to City at the end of any fiscal year if funds are not appropriated for the next succeeding fiscal year. If funds are appropriated for a portion of the fiscal year, this Agreement will terminate, without penalty, liability or expense of any kind at the end of the term for which funds are appropriated. City has no obligation to make appropriations for this Agreement in lieu of appropriations for new or other agreements. City budget decisions are subject to the discretion of the Mayor and the Board of Supervisors. Contractor’s assumption of risk of possible non-appropriation is part of the consideration for this Agreement. THIS SECTION CONTROLS AGAINST ANY AND ALL OTHER PROVISIONS OF THIS AGREEMENT.
