Application of Proceeds to Restoration. Notwithstanding the following provisions of this subsection (c), so long as no Event of Default (or event which with the passage of time or the giving of notice or both would be an Event of Default) has occurred and is continuing, if the amount of the Damage is in an amount that is less than the Borrower Claim Threshold, such insurance proceeds shall be paid directly to Borrower and used by Borrower to repair and restore the Property, provided that Borrower shall use such funds to repair and restore the Property, and shall provide Lender with such information and reports with respect thereto as Lender may require. Lender shall make the Net Proceeds (defined below) available to Borrower for Restoration if: (i) there shall then be no Event of Default; (ii) Lender shall be satisfied that (A) Restoration can and will be completed within one (1) year after the Damage occurs and at least one (1) year prior to the maturity of the Note and (B) Leases which are terminated or terminable as a result of the Damage cover an aggregate of less than ten percent (10%) of the total rentable square footage contained in the Property at the closing of the Loan or such Tenants agree in writing to continue their Leases; (iii) Borrower shall have entered into a general construction contract acceptable in all respects to Lender for Restoration, which contract must include provision for retainage of not less than ten percent (10%) until final completion of the Restoration; and (iv) in Lender’s reasonable judgment, after Restoration has been completed the net cash flow of the Property will be sufficient to cover all costs and operating expenses of the Property, including payments due and reserves required under the Documents. Notwithstanding any provision of this Instrument to the contrary, Lender shall not be obligated to make any portion of the Net Proceeds available for Restoration (whether as a result of Damage or a Taking) unless, at the time of the disbursement request, Lender has determined in its reasonable discretion that (y) Restoration can be completed at a cost which does not exceed the aggregate of the remaining Net Proceeds and any funds deposited with Lender by Borrower (“Additional Funds”) and (z) the aggregate of any loss of rental income insurance proceeds which the carrier has acknowledged to be payable (“Rent Loss Proceeds”) and any funds deposited with Lender by Borrower are sufficient to cover all costs and operating expenses of the Property, including payments...

Application of Proceeds to Restoration. (a) -------------------------------------- Notwithstanding anything to the contrary contained in the Operative Documents, in the event of any damage to or destruction of the Project or any part thereof as a result of any casualty ("Damage"), or in the event the Project Site, the Project or any part thereof are taken or damaged as the result of the exercise of the power of eminent domain, or as the result of any other governmental action for which compensation shall be given by any governmental authority ("Condemnation"), all proceeds of insurance required to be maintained pursuant to the Operative Documents and all awards or other compensation payable to Seller, Project Lender, Lessor, Lessee or Buyer in connection with such Damage or Condemnation and, during Lessor's Preference Period, all proceeds of any "business interruption" or "outage expense" insurance required to be maintained pursuant to the Operative Documents (herein, together with any interest and investment earnings thereon and all cash and non-cash proceeds thereof, collectively called "Conversion Proceeds") shall be paid or delivered to Indenture Trustee or any other bank or trust company having an office in the City of New York or the City of Pittsburgh and having a combined capital and surplus aggregating at least $100,000,000 (the Indenture Trustee or such other bank or trust company being herein called the "Depositary") and held by the Depositary, in trust for application in accordance with the provisions of this Article; provided, however, that so long as no Seller's Default, Project Loan --------- ------- Default or Lease Default exists, any Conversion Proceeds aggregating less than $100,000 shall be payable to Seller or Lessee (or, if the Project has been sold by Seller to Lessor and no Lease is in effect, Lessor), as the case may be, for application in accordance with the provisions of the Operative Documents.
Application of Proceeds to Restoration. Anything in this Section 3.07 to the contrary notwithstanding, in the event of an insured loss, Secured Party shall permit the application of insurance proceeds to restoration of the Collateral to as good or better condition as existed prior to the damage, destruction, or loss, in accordance with plans and specifications approved by Secured Party in its reasonable discretion, if: (i) no more than 30% of the gross area of the Improvements is directly affected by such damage, destruction, or loss and the amount of the loss does not exceed 20% of the value of the Collateral immediately before the damage, destruction or loss; (ii) there is no Event of Default (as defined in Section 6.01) at the time of such application; (iii) the insurer does not deny liability to any named insured; (iv) rental loss insurance is available and in force and effect to offset fully any abatement of rent to which any lessee of the Premises may be entitled as a result of such loss; (v) in Secured Party's sole judgment, restoration can be completed within one (1) year after the damage, destruction, or loss and at least three (3) months prior to the maturity of the Note.
Application of Proceeds to Restoration. Anything in this Section 3.08 to the contrary notwithstanding, in the event of a limited, partial taking as hereinafter described, Secured Party shall permit the application of any condemnation award or other payment to restoration of the Collateral and all Improvements (including, but not limited to, parking, drives, sidewalks, and landscaping) located thereon to substantially the same size and character as theretofore existed, and to as good or better condition, in accordance with plans and specifications approved by Secured Party in its reasonable discretion, if: (a) such taking involves less than 20% of the rentable square feet in the Improvements or less than 10% of the parking spaces, and does not affect access to the Collateral (or any part thereof) from any public right-of-way; (b) there is no Event of Default hereunder at the time of such application; (c) the remaining Collateral continues at all times to comply with all applicable building, zoning and other land use laws and regulations; (d) in Secured Party's sole judgment, restoration is practicable and can be completed within one (1) year after the taking and at least three (3) months prior to the maturity of the Note; and (e) any and all lessees of the Premises whose leases permit termination thereof or abatement of rent as a result of such taking agree in writing to continue their leases without abatement of rent.
Application of Proceeds to Restoration. All insurance proceeds received by Borrower either directly or through Lender shall be used and applied by Borrower in strict accordance with the requirements of this Instrument and the Documents. Notwithstanding anything to the contrary herein, if at any time (i) Lender reasonably determines Borrower has failed, for any reason, to use and apply any insurance proceeds in strict according with the Indenture or (ii) an Event of Default occurs under the Documents, then, at Lxxxxx’s sole election, Lender may exercise all rights set forth in this Instrument with respect to any and all Damage and insurance proceeds regardless of whether such Damage gives rise to a Major Restoration, as defined above.   • Application of Proceeds The Collateral Agent shall apply the proceeds of any collection, sale, foreclosure or other realization upon any Collateral, including any Collateral consisting of cash, as follows: FIRST, to the payment of all costs and expenses incurred by the Administrative Agent or the Collateral Agent (in their respective capacities as such hereunder or under any other Loan Document) in connection with such collection, sale, foreclosure or realization or otherwise in connection with this Agreement, any other Loan Document or any of the Obligations, including all court costs and the reasonable fees and expenses of its agents and legal counsel, the repayment of all advances made by the Collateral Agent or the Administrative Agent hereunder or under any other Loan Document on behalf of any Grantor and any other costs or expenses incurred in connection with the exercise of any right or remedy hereunder or under any other Loan Document; SECOND, to the payment in full of Unfunded Advances/Participations (the amounts so applied to be distributed between or among the Administrative Agent, any Swingline Lender and any Issuing Bank pro rata in accordance with the amounts of Unfunded Advances/Participations owed to them on the date of any such distribution); THIRD, to the payment in full of all other Obligations (the amounts so applied to be distributed (subject to the first proviso to Section 3.01 and clause (B) of the first proviso to Section 4.01(a)) among the Secured Parties pro rata in accordance with the amounts of the Obligations owed to them on the date of any such distribution); and FOURTH, to the Grantors, their successors or assigns, or as a court of competent jurisdiction may otherwise direct. The Collateral Agent shall have absolute discretion as to the time of application of any such proceeds, moneys or balances in accordance with this Agreement. Upon any sale of Collateral by the Collateral Agent (including pursuant to a power of sale granted by statute or under a judicial proceeding), the receipt of the Collateral Agent or of the officer making the sale shall be a sufficient discharge to the purchaser or purchasers of the Collateral so sold and such purchaser or purchasers shall not be obligated to see to the application of any part of the purchase money paid over to the Collateral Agent or such officer or be answerable in any way for the misapplication thereof.

Debtor agrees to take all steps necessary to preserve rights against prior parties with respect to the Collateral. Nothing in this Section 3.1 shall be deemed a consent by Bank to any sale, lease or other disposition of any Collateral.

  • Applications of Proceeds The proceeds of any such sale, lease or other disposition of the Collateral hereunder shall be applied first, to the expenses of retaking, holding, storing, processing and preparing for sale, selling, and the like (including, without limitation, any taxes, fees and other costs incurred in connection therewith) of the Collateral, to the reasonable attorneys' fees and expenses incurred by the Secured Party in enforcing its rights hereunder and in connection with collecting, storing and disposing of the Collateral, and then to satisfaction of the Obligations, and to the payment of any other amounts required by applicable law, after which the Secured Party shall pay to the Company any surplus proceeds. To the extent permitted by applicable law, the Company waives all claims, damages and demands against the Secured Party arising out of the repossession, removal, retention or sale of the Collateral, unless due to the gross negligence or willful misconduct of the Secured Party.
