Common use of Appointment and Termination Clause in Contracts

Appointment and Termination. The Issuer and the Guarantor may, with the prior written approval of the Trustee, at any time appoint additional or other Agents and/or terminate the appointment of any Agent by giving to the Principal Paying Agent and the Agent concerned at least 60 days’ notice to that effect, which notice shall expire at least 30 days before or after any due date for payment of any payment (of principal, interest or otherwise) in respect of any Bonds, provided that there will at all times be Agents complying with the requirements of the Conditions.

Upon any letter of principal, interest appointment being executed by or otherwise) in respect of any Bonds, provided that there will at all times be Agents complying with the requirements on behalf of the ConditionsIssuer and any person appointed as an Agent, such person shall become a party to this Agreement as if originally named in it and shall act as such Agent.

The Issuer and or the Guarantor may, with the prior written approval of the Trustee, at any time appoint additional Agents or other Agents Custodian and/or terminate the appointment of any Agent or the Custodian or (with the agreement of the relevant Agent or the Custodian) vary the terms of any such appointment by giving to the Principal Paying Agent and the Agent concerned or the Custodian at least 60 days’ written notice to that effect, which notice shall expire at least 30 days before or after any due date for payment of any payment (of principal, interest or otherwise) in respect of any Bonds, provided that there will at all times be Agents complying with the requirements of the ConditionsNotes.
