Common use of Appointment of Chairperson and Secretary Clause in Contracts

Appointment of Chairperson and Secretary. The members of the Technical Committee shall appoint a member of the Technical Committee as chairperson of the Technical Committee (the “Chairperson”) and another person, who shall not have to be a member of the Technical Committee, as secretary of the Technical Committee (the “Secretary”). In the event that either the Chairperson or the Secretary is not present at a meeting of the Technical Committee for any reason, prior to the commencement of such meeting, the other members of the Technical Committee present at such meeting shall appoint a member of the Technical Committee to act as chairperson of such meeting and another person who shall not have to be a member of the Technical Committee, to act as secretary of such meeting.
