Approval of Budget. The Practice Advisory Council shall have the power to adopt, approve and amend the Budget and to approve various expenses as set forth herein, which shall be subject to change upon submission of any dispute thereon to Ernst & Young LLP (or its successor or replacement) and appeal to the National Appeals Council as provided in Section 3.11(a).

Approval of Budget. VAC, HRT and SheaCo shall have been provided a copy of the Company's most recent budget for the year 2001 (the "Budget") and the Budget shall be reasonably satisfactory to VAC.
