Archival/Backup Copy. Licensor shall provide to Licensee upon request, or Licensee may create, one (1) copy of the entire set of Licensed Materials to be maintained as a backup copy. In the event that the Agreement is terminated, or the Licensor no longer offers the Licensed Materials online, Licensee and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.

The Publisher may update, modify, or replace the relevant Licensed Materials (including any content therein) from time to time, and the any such updates, modifications or replacements will apply to the Licensee. The Publisher may discontinue offering access to any of the Licensed Materials, and any such discontinuation will apply to this Agreement. The Distributor will use commercially reasonable efforts to provide, or to cause the Publisher to provide, advance notice to the Licensee of any such discontinuation. For perpetual access basis Licensed Materials, Licensor will provide to Licensee, or will cause the Publisher to provide Licensee, upon Licensee’s request, an electronic copy of the discontinued Licensed Materials, subject to Licensee’s payment of a media, fulfillment, and/or delivery fee and Licensee’s execution of an additional agreement.
Archival/Backup Copy. Suweco shall provide to NTK upon request, or NTK may create, one (1) copy of the entire set of Materials to be maintained as a backup copy. In the event that the Agreement is terminated, or the Suweco no longer offers the Materials online, NTK and Participating Institutions may use the backup copy to exercise their rights under section XII, Perpetual Rights, of this Agreement.
Archival/Backup Copy. Licensor shall provide to Licensee upon request one copy of the entire set of bibliographic metadata derived from the below listed Licensed Materials to be maintained as a backup copy during the term of the Agreement only, and subject to all of the terms and conditions of this Agreement. In the event that the Licensor no longer than 14 days offers the Licensed Materials online, Licensee and Participating Institutions may use the backup copy to exercise their rights. In the event that the Agreement is terminated, the backup copy must be destroyed and no longer used by the Licensee. Data will be provided via FTP. Archival/Backup Copy shall be updated on annual basis only during the term of this Agreement. Archival/Backup Copy. The Licensed Materials are deposited permanently with Portico, an independent not-for-profit organization maintaining dark digital archives. By joining Portico, the Licensee will have assured access in perpetuity through Portico to the Licensed Materials should access via the Distributor no longer be possible.

Archival copies are also available via the dark archives of PORTICO and CLOCKSS. No copy can be made by the Licensee or provided by the Distributor.
Archival/Backup Copy. 90 days after the expiration the Subscription Period, the Publisher will provide the Licensee, upon request, an archival (non-searchable) file in a mutually-acceptable format, containing the current year/s content of journal issues subscribed to during the Subscription Period.
