ASSIGMENT. That this lease may be assigned and transferred after the Lessee obtains an assignment form from the Lessor, and gets the Lessor’s approval, and pays an assignment fee.
ASSIGMENT. MGI shall not assign, sublicense, subcontract or otherwise transfer this Agreement, in whole or in part, or any rights, responsibilities, obligations, or licenses hereunder, without the prior, written consent of VONS, which consent shall not be unreasonably withheld. As one prerequisite to any such consent by VONS, the proposed transferee shall agree in writing to be fully bound by the duties and obligations of MGI under this Agreement.
ASSIGMENT. This Agreement, the rights and interests created by this Agreement and the summary of the Condominium Documents provided by Condolyzers to the Customer pursuant to the terms of this Agreement may not be assigned or transferred by the Customer to a third party or be used by a third party, other than the Customer, without the prior written consent of Condolyzers.
ASSIGMENT. OPERATOR shall not assign, sublicense, subcontract or otherwise transfer this Agreement, in whole or in part, or any rights, responsibilities, obligations, or licenses hereunder, without the prior, written consent of LICENSOR, which consent shall not be unreasonably withheld. As a condition to the consent by LICENSOR, the proposed transferee shall agree in writing to be fully bound by the duties and obligations of OPERATOR under this Agreement. Notwithstanding the foregoing, OPERATOR may assign this Agreement to a wholly-owned subsidiary of Xxxxxx Gaming, Inc. without such prior written approval of LICENSOR upon written notice to LICENSOR.
ASSIGMENT. Neither party hereto may assign the whole or any part of the benefits or obligations of that party under this Agreement without the consent of the other.
ASSIGMENT. ETT shall not assign, sublicense, subcontract or otherwise transfer this Agreement, in whole or in part, or any rights, responsibilities, obligations, or licenses hereunder, without the prior, written consent of TERRIBLE XXXXXX, which consent shall not be unreasonably withheld. As one prerequisite to any such consent by TERRIBLE XXXXXX, the proposed transferee shall agree in writing to be fully bound by the duties and obligations of ETT under this Agreement.
ASSIGMENT. Without SECTV's prior written consent, CUSTOMER shall not either assign, transfer, pledge, hypothecate, grant any security interest in or otherwise dispose of this Agreement or the Services or any interest in this Agreement or the Services, or sublet or lend the Services or permit it to be used by anyone other than CUSTOMER or CUSTOMER's employees. SECTV may assign its rights, title and interest in and to this Agreement, the Services and any other documents executed with respect to this Lease and/or grant or assign a security interest in this Agreement and the Services, in whole or in part. Any assignees shall have all of the rights of SECTV under this Agreement. Subject to the foregoing, this Agreement insures to the benefit of and is binding upon the successors and assigns of the parties hereto. Upon assignment of SECTV's interest herein, SECTV will cause written notice of such assignment to be sent to CUSTOMER which will be sufficient if it discloses the name of the assignee and address to which further payments hereunder should be made. No further action will be required by SECTV or by CUSTOMER to evidence the assignment, but CUSTOMER will acknowledge such assignments in writing if so requested.
ASSIGMENT. In the event LICENSEE or its agents develop or create logos, designs, or other artwork to be used in conjunction with the License or the Licensed Property, all such written and graphic materials, designs, logos, and other items (collectively “Designs”) shall be the exclusive property of LICENSEE. In the event that LICENSOR or its agents develop or create any additional Designs, such Designs shall be a “work-for-hire” under the copyright laws of the United States, and LICENSEE shall be the sole author and owner of all such work. LICENSOR irrevocably assigns and transfers to LICENSEE all right, title and interest worldwide in and to all such Designs, and to all modifications and derivative works thereof, and to all worldwide intellectual property rights related thereto. Upon LICENSEE’s request, LICENSOR shall execute any and all assignments, applications and other documents, and perform such acts as LICENSEE requests to obtain trademark, copyright or other proprietary protection in any country in order to protect LICENSEE’s interest in all such Designs. LICENSOR shall have the right to use the Designs only as approved by LICENSEE.
ASSIGMENT. Except as expressly set forth herein, neither this Agreement nor any of the rights, interests or obligations hereunder shall be assigned by any of the parties hereto (whether by operation of law or otherwise) without the prior written consent of the other parties hereto. Subject to the preceding sentence, this Agreement will be binding upon, inure to the benefit of and be enforceable by the parties and their respective successors and assigns.
ASSIGMENT. Members may not assign, transfer or delegate this agreement or their rights and obligations hereunder without the prior written consent of Resilia. Resilia reserves the right, at its sole discretion, without limitation, to assign, transfer or delegate this agreement and any of its rights and obligations herein provided by giving 30 days' notice. The right to terminate this agreement at any time under these Terms shall remain unaffected.
