ASSIGNMENT OF COLLECTION RIGHTS. The CONTRACTOR may not assign the rights and obligations arising from this contract either partially or fully in favour of any other individual or legal entity, except for the collection rights on the estimates for the work performed. In this case, the CONTRACTOR shall request consent from PEP in writing, who will come to an appropriate decision within a term of 15 (fifteen) calendar days from the request submission. In the event that the aforementioned period has passed without PEP having given a response in writing to the request from the CONTRACTOR, this request will be considered not accepted. If as a result of the assignment of the collection rights requested by the CONTRACTOR, a delay in payment were to occur, the payment of financing expenses as referred to in article 55 of the Law of Public Works and Related Services will not apply. Neither will the process of assigning collection rights grant the CONTRACTOR the right to request an extension to the completion date. SIX WITHHOLDINGS. The CONTRACTOR accepts that the following withholdings will be performed on each of the estimates that are paid:

Promptly after the determination of any Actual Uncollected Receivables and the receipt by Purchaser of all payments from Leavxxx xxxuired by Section 3.5.3 above, if any, Purchaser will assign to Leavxxx all of Purchaser's rights to the Actual Uncollected Receivables. ASSIGNMENT OF COLLECTION RIGHTS. Simultaneously with the execution of this Agreement, each of Guilford and AT are executing and delivering to each other the Assignment of Collection Rights, the form of which is attached hereto as Exhibit D (the "Assignment of Collection Rights"). Each of the parties hereto acknowledges that the execution, delivery and performance of the Assignment of Collection Rights by Guilford and AT are part of the consideration and conditions precedent to the others' willingness to enter into this Agreement.

Assignment of Account We may sell, assign, pledge or transfer this Agreement (including any addendum to this Agreement), your account or an interest in your account to a third party without notice to you. In the absence of a notice of such sale or transfer, you must continue to make all required payments to us in accordance with your billing statement.
Assignment of Contract A. Unless expressly agreed to elsewhere in the Contract, no assignment by a party hereto of any rights under or interests in the Contract will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, money that may become due and money that is due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents.
