Assignment of Field Trips/Shuttles. Except in cases of emergency, field trips and all shuttles for the next work week will be assigned once a week on Monday morning at 9:00a.m. Drivers must be present at the time of assignment to accept and be granted a field trip/shuttle. Drivers absent on the assignment day due to illness, routing, or tripping, only, must confirm their availability for field trips to the office by 8:00 a.m. or will be placed ineligible. Drivers present during the assignment period will be paid at the trip meeting rate. Field Trips will be offered on a seniority rotation basis each week. Assignments for field trips during extended school breaks (i.e., Christmas recess, Spring break) will be assigned to the eligible driver(s) at the trip meeting preceding the extended break. Drivers will sign the sheet indicating their presence at the meeting. Drivers must sign in to receive pay for the meeting. Drivers arriving late will not be allowed to select trips unless the delay was job-related.

Drivers must be present at the time of assignment to accept and be granted field trip/shuttles. Drivers absent on the assignment day due to illness (off work, paid or unpaid time - including FMLA), routing, tripping, vacation, bereavement, jury duty, or work another job within the district that requires you to leave by 9:30am, only, must confirm their availability (in writing) for field trips to the office by 8:00am or will be placed ineligible. Drivers present during the assignment period will be paid. Field trips/shuttles will be offered on a seniority rotation basis each week. Any unfilled field trip/shuttle will be assigned to a substitute driver. It is understood and agreed that a driver who signs up for a field trip/shuttle is obligated to fulfill that commitment. Assignments for field trip/shuttles during extended school breaks (i.e., Christmas recess, Spring Break) will be assigned to the eligible driver(s) at the trip meeting preceding the extended break. Drivers must be present, on time and sign in to receive pay for the meeting. Driver’s attending the trip meeting and receiving pay, but not selecting a trip after 3 meetings will not be allowed to select at the next trip meeting. Any trip which would cause a driver to lose time or that occurs on an employees scheduled day off will not count against the employee. Field trips/shuttles that occur over the summertime will be assigned based on straight seniority (no rotation). Field trips for the next work week will be called out on Monday morning at 9:00am. To be eligible for summer field trips/ shuttles, a driver must sign up indicating interest and include a phone number to be placed on the call out list. One (1) call will be made and move on to the next person. Any emergency trips that the Transportation Office becomes aware of after the Monday call out, will be called out as soon as possible. These emergency trips will be assigned based on straight seniority (no rotation).

  • Technology Transfer Subject to the terms of the Development Supply Agreement, as soon as reasonably practicable, but in no event later than the fifth (5th) anniversary of the Effective Date, Alnylam shall initiate a technology transfer to MedCo, or to its Third Party manufacturer(s) of Licensed Product, selected by MedCo and reasonably acceptable to Alnylam, of Alnylam Know-How that is reasonably necessary or useful for the Manufacture of the Licensed Product, and shall make available its personnel on a reasonable basis to consult with MedCo or such Third Party manufacturer(s) with respect thereto, all at MedCo’s expense, including the Costs reasonably incurred by Alnylam in connection with such technology transfer activities. MedCo shall reimburse Alnylam such Costs incurred with respect to such Manufacturing technology transfer within [***] days after receipt of an invoice therefor. Alnylam and its Affiliates shall keep complete and accurate records in sufficient detail to enable the payments payable hereunder to be determined. Alnylam shall not be required to perform technology transfer to more than one Third Party manufacturer for each stage of the Licensed Product supply chain (i.e., Bulk Drug Substance, Bulk Drug Product and Finished Product). Promptly after MedCo’s written request, Alnylam shall use Commercially Reasonable Efforts to assign to MedCo any manufacturing agreement between Alnylam and a Third Party that is solely related to the manufacture of Licensed Products. Such assignment shall be subject to the terms and conditions of such agreement, including any required consents of such Third Party and MedCo’s written agreement to assume all the obligations of Alnylam under such agreement to be undertaken after such assignment, but Alnylam shall remain solely responsible for its obligations under such agreement arising prior to such assignment. Except as provided in the immediately preceding sentence, MedCo shall be solely responsible for contracting with such Third Party manufacturer (and any other Third Party manufacture to whom Alnylam has initiated technology transfer as set forth in this Section 5.3) for the supply of such Licensed Product and Alnylam shall have no obligations under such agreement between MedCo and such Third Party manufacturer. Alnylam shall use Commercially Reasonable Efforts to obtain any such consent in a form reasonably acceptable to MedCo.
