ASSIGNMENTS; MERGER OF LESSOR. SECTION 9.1 RESTRICTION ON TRANSFER OF XXXXXX’S INTEREST HEREUNDER. Except as otherwise specifically provided in this Article IX hereof, neither the Lessor nor the Company shall sell, assign or otherwise dispose of any of their rights under this Agency Lease, without the prior written consent of the Company or the Lessor, as the case may be.

Except as otherwise specifically provided in this Article IX hereof and except for a conveyance by the Lessor in accordance with the provisions of Section 10.2(A)(4) hereof, neither the Lessor nor the Lessee shall sell, assign or otherwise dispose of any of their rights under this Lease Agreement, without the prior written consent of the Lessee or the Lessor, as the case may be, which consents shall not be unreasonably withheld or delayed.
