Audit and Inspection Costs. Client shall reimburse CMO and/or its Affiliates for all Unanticipated Expenses that are not otherwise included in a SOW and are reasonably incurred by CMO and/or its Affiliates (as the case may be) directly in connection with (i) the audits pursuant to Section 6.3 (except audits conducted for Cause) and (ii) any regulatory inspections by, or correspondence with, any Governmental Authority or Regulatory Authority pursuant to Sections 6.5.

Audit and Inspection Costs. Study Drug Sponsor shall reimburse HJF and/or CRO for their respective time and expenses (including reasonable attorney fees and the costs of responding to findings) associated with any inspection, audit or investigation relating to the Study (“Inspection”) initiated by Study Drug Sponsor or by a governmental authority, unless and to the extent such Inspection finds that HJF and/or CRO and/or Site failed to fulfill its respective obligations related to the Study or Applicable Law.
Audit and Inspection Costs. After the first audit per calendar year and per Work Order, Sponsor shall reimburse IQVIA for its time and expenses (including reasonable attorney fees and the costs of responding to findings) associated with any inspection or audit relating to the Services instigated by Sponsor or by a government authority which is Sponsor Study specific as opposed to a routine audit of IQVIA’s business , unless and to the extent such inspection, audit or investigation finds that IQVIA breached this Agreement or any applicable law or regulation. Moreover, Sponsor shall not reimburse IQVIA in case of inspection or of audits for cause where a breach of obligations is confirmed.

  • Audits and Inspections At any time during normal business hours and as often as the CITY may deem necessary, there shall be made available to the CITY for examination all of CONTRACTOR’S records with respect to all matters covered by this Agreement. CONTRACTOR shall permit the CITY to audit, examine, and make excerpts or transcripts from such records, and to make audits of all contracts, invoices, materials, payrolls, records of personnel, conditions of employment and other data relating to all matters covered by this Agreement.
