Authority and Performance. Customer represents and warrants that (i) it has the legal right and authority to enter into this MSA and perform its obligations under this MSA, and (ii) the performance of its obligations and use of the Services (by Customer, its customers and users) will not violate any applicable laws, regulations or the Acceptable Use Policy or cause a breach of any agreements with any third parties or unreasonably interfere with other DataBank customers’ use of DataBank services.
Authority and Performance. Licensor represents and warrants that it has the legal right and authority to enter into this Agreement and perform its obligations hereunder, and the performance of its obligations hereunder will not cause a breach of any agreements between Licensor and any third parties, including all vendors critical to its performance obligations hereunder.

Customer represents and warrants that: (a) it has the legal authority to enter into and perform its obligations under this MSA and all Customer Agreements; (b) the performance of its obligations and use of any Software and Services by Customer and Customer’s End Users will not violate any laws or regulations or unreasonably interfere with other Sourcewell Customers’ use of Sourcewell Software or Services; and (c) Customer shall use best efforts to ensure that it and all Customer End Users fully comply with Customer’s obligations under this MSA, all Customer Agreements, state and federal data privacy and security laws applicable to Customer, and applicable terms in Sourcewell Data and Security Policies.
Authority and Performance. Alert Logic represents and warrants that (a) it has the legal right and authority to perform its Services, (b) the performance of its obligations and delivery of the Services to End User will not violate, or cause a breach of, any agreements between Alert Logic and any third parties, and (c) provided Alert Logic has been paid all fees payable for providing the Services, (i) the Services will, subject to Section 1 of this XXXX, include the capabilities set forth in Schedule 1, Service Description, as such Service Description may be updated from time to time by Alert Logic, and (ii) Alert Logic shall use commercially reasonable efforts to deliver the Services in accordance with the Service Level Agreement, if any, then in effect between Alert Logic and the Re-Seller, provided, however, that any remedy, credit, damages, compensation or the like owed or owing to End User for any failure by Alert Logic to provide the Services in accordance with the provisions of this Section 6 or otherwise shall be solely the responsibility of the Re-Seller, and End User shall have no claim or right to any remedy, credit, damages, or compensation or the like for such failure against or from Alert Logic..
Authority and Performance. Alert Logic represents and warrants that the Services will conform in all material respects with the functionality set forth in the Service Description set forth in the Service Description linked in Schedule 1 hereto as, as the same may be updated from time to time by Alert Logic. In addition, Alert Logic shall use commercially reasonable efforts to deliver the Services in accordance with the then-current standard Service Level Agreement, if any, provided by Alert Logic to its customers with respect to the Services; provided, however, that any remedy, credit, damages, compensation or the like owed or owing to End User for any failure by Alert Logic to provide the Services in accordance with the provisions of this Section 7 or otherwise shall be solely the responsibility of the End User to claim a right to any remedy, credit, damages, or compensation or the like for such failure against or from Alert Logic.

Customer represents and warrants that: (i) it has the legal authority to enter into this MSA and all Customer Agreements, and perform its obligations under such agreements; (ii) the performance of its obligations and use of any Software and Services by Customer and Customer’s End Users will not violate any laws or regulations applicable to Customer, or unreasonably interfere with other SWT Customers’ use of SWT Software or Services; and, (iii) Customer shall use best efforts to ensure that it and all Customer End Users fully comply with all Customer obligations under this MSA, all Customer Agreements, state and federal data privacy and security laws applicable to Customer, and applicable terms in SWT Data and Security Policies.
Authority and Performance. Customer represents and warrants that the performance of its obligations and use of the Services (by Customer, its customers, and users) will not violate any applicable laws, regulations or the Acceptable Use Policy or cause a breach of any agreements with any third parties or unreasonably interfere with other Gigabit customers’ use of Gigabit Services. Customer represents that it will take reasonable steps to ensure the above.

Alert Logic represents and warrants that (i) it has the legal right and authority to enter into this SA and perform its obligations under this SA, and (ii) the performance of its obligations and delivery of the Services to Customer will not violate, or cause a breach of, any agreements between Customer and any third parties.
