Authority of General Agent. General Agent shall have the authority to handle and settle claims arising from business placed with Company under this Agreement in accordance with established procedures approved by Company and Regulations. Any settlement authority granted to General Agent may be terminated for cause upon Company’s written notice to General Agent or upon termination of this Agreement. Company may suspend such settlement authority during the pendency of any dispute regarding the cause for termination of this Agreement. The authority of General Agent to settle a claim shall not exceed [**]% of Company’s (singularly) policyholder surplus as of December 31 of the last completed calendar year; or $[**], whichever is greater. General Agent shall not have the authority to waive any policy condition or commit Company to any cost, expense or liability that is not covered under Policies, unless Company approves in writing such losses in excess of the policy limits or extra-contractual obligations. General Agent shall have the authority to incur Loss Adjustment Expenses on behalf of Company that are directly connected with the settlement of losses or recovery of losses by way of salvage or subrogation in accordance with established procedures approved by Company. Any indirect Loss Adjustment Expenses incurred by General Agent must be specifically identified and authorized in writing by Company in order for General Agent to be reimbursed for such expenses.

The Company hereby appoints the General Agent to supervise and conduct the writing of Crop Hail and/or Multi-Peril Crop Insurance and assumed reinsurance (including additional coverages and perils written in conjunction therewith) in the states listed in EXHIBIT "A" hereby attached and becoming part of this Agreement. C. The General Agent hereby accepts such appointment, power and authority, and agrees to carry out his resulting duties to the best of his ability, knowledge, skill and judgement.

  • Authority of the Collateral Agent (a) The Collateral Agent shall have and be entitled to exercise all powers hereunder that are specifically granted to the Collateral Agent by the terms hereof, together with such powers as are reasonably incident thereto. The Collateral Agent may perform any of its duties hereunder or in connection with the Collateral by or through agents or attorneys, shall not be responsible for any misconduct or negligence on the part of any agent or attorney appointed with due care by it hereunder and shall be entitled to retain counsel and to act in reliance upon the advice of counsel concerning all such matters. The Collateral Agent and its directors, officers, employees, attorneys and agents shall be entitled to rely conclusively on any communication, instrument or document believed by it or them to be genuine and correct and to have been signed or sent by the proper Person or Persons. The Collateral Agent shall have no duty to cause any financing statement or continuation statement to be filed in respect of the Collateral.

  • Appointment Authority and Duties of Agent 12.1.1. Each Lender hereby irrevocably appoints and designates Fleet as Agent to act as herein specified. Agent may, and each Lender by its acceptance of a Note shall be deemed irrevocably to have authorized Agent to, enter into all Loan Documents to which Agent is or is intended to be a party and all amendments hereto and all Security Documents at any time executed by Borrower, for its benefit and the Pro Rata benefit of Lenders and, except as otherwise provided in this Section 12, to exercise such rights and powers under this Agreement and the other Loan Documents as are specifically delegated to Agent by the terms hereof and thereof, together with such other rights and powers as are reasonably incidental thereto. Without limiting the generality of the foregoing, Agent shall have the sole and exclusive right and authority to (a) act as the disbursing and collecting agent for Lenders with respect to all payments and collections arising in connection with this Agreement and the other Loan Documents; (b) execute and deliver as Agent each Loan Document and accept delivery of each such agreement delivered by Borrower or any other Obligor; (c) act as collateral agent for Lenders for purposes of the perfection of all security interests and Liens created by this Agreement or the Security Documents with respect to all material items of the Collateral and, subject to the direction of the Required Lenders, for all other purposes stated therein, provided that Agent hereby appoints, authorizes and directs each Lender to act as a collateral sub-agent for Agent and the other Lenders for purposes of the perfection of all security interests and Liens with respect to Borrower's Deposit Accounts maintained with, and all cash and Cash Equivalents held by, such Lender; (d) subject to the direction of the Required Lenders, manage, supervise or otherwise deal with the Collateral; and (e) except as may be otherwise specifically restricted by the terms of this Agreement and subject to the direction of the Required Lenders, exercise all remedies given to Agent with respect to any of the Collateral under the Loan Documents relating thereto, Applicable Law or otherwise. The duties of Agent shall be ministerial and administrative in nature, and Agent shall not have by reason of this Agreement or any other Loan Document a fiduciary relationship with any Lender (or any Lender's participants). Unless and until its authority to do so is revoked in writing by Required Lenders, Agent alone shall be authorized to determine whether any Accounts or Inventory constitute Eligible Accounts or Eligible Inventory (basing such determination in each case upon the meanings given to such terms in Appendix A), or whether to impose or release any reserve, and to exercise its own credit judgment in connection therewith, which determinations and judgments, if exercised in good faith, shall exonerate Agent from any liability to Lenders or any other Person for any errors in judgment.

  • Authority of Parties 5.1 Nothing in this Agreement will constitute or be deemed to constitute a partnership between the Parties, or constitute or be deemed to constitute the Parties as agents or employees of one another for any purpose or in any form whatsoever.
