Notwithstanding any unanticipated effect of any of the provisions herein, neither Party will intentionally conduct itself under the terms of this Agreement in a manner to constitute a violation of the Medicare and Medicaid fraud and abuse provisions. Further, if legislation is passed, the effect of which would be to hinder Authority's ability to obtain reimbursement from Medicare/Medicaid due to the existence of this Agreement, or if this Agreement becomes illegal under any subsequent law or regulation, then, to the greatest degree possible, the Agreement shall be interpreted in a manner which removes the specific offending aspects yet gives maximum effect to its intent. If interpretation in this manner is not possible, the Parties agree to negotiate in good faith to amend this Agreement in a manner that accomplishes essentially the same objectives for all Parties, but which does not contain the illegal provisions. If the Parties cannot agree, final resolution shall be subject to arbitration.
